Truth Social is a social media platform owned by Trump Media & Technology Group Corp. (TMTG). It did not hold a conventional initial public offering (IPO): its parent company became public when TMTG merged with the special purpose acquisition company Digital World Acquisition Corp. (DWAC) on March 25, 2024. The lawsuits and regulatory matters connected with the story involve different entities and events, so it helps to distinguish the platform, its parent company and DWAC.
What is Truth Social?
Truth Social is TMTG’s social media platform. The company describes it as a “safe harbor for free expression” and says its mission is “to end Big Tech’s assault on free speech by opening up the Internet and giving people their voices back.” Those are the company’s own descriptions, not independent assessments of the platform’s moderation or speech outcomes. TMTG’s investor relations site also lists Truth+ as a separate streaming product and Truth.Fi as a financial-services brand; neither is the social media platform.
The company’s public financial statements cover TMTG on a consolidated basis. They do not establish Truth Social’s standalone revenue or a current platform user count, so company-wide financial results should not be treated as platform-only figures.
Did Truth Social have an IPO?
No. The 2021 IPO belonged to DWAC, the SPAC that later merged with TMTG. A SPAC is a company formed to raise capital and merge with a private business; completing such a merger can take that business public. TMTG became publicly traded through the merger, not through a separate conventional IPO by Truth Social.

| Event | Entity | What happened |
|---|---|---|
| September 8, 2021 IPO | DWAC | The SEC’s 2023 order says DWAC sold 28,750,000 units at $10 each, raising $287.5 million gross. These were DWAC’s IPO figures, not Truth Social’s. SEC administrative order |
| March 25, 2024 merger closing | DWAC and TMTG | The merger closed, DWAC changed its name to Trump Media & Technology Group Corp., and the company’s investor relations site identifies its Nasdaq ticker as DJT. TMTG’s 2025 Form 10-K says the transaction was accounted for as a reverse recapitalization, with private TMTG as the accounting acquirer. Investor relations; SEC company filings |
The practical distinction is that Truth Social is the product, TMTG is its parent company and the publicly traded issuer, and DWAC was the SPAC involved in the transaction.
What did the SEC say about DWAC?
In a July 2023 administrative order, the SEC made findings about DWAC’s disclosures. The order says DWAC’s IPO filings stated that it had not discussed a potential merger with targets before its IPO, while later merger filings mischaracterized or omitted the history of its interactions with TMTG. It also describes a potential conflict involving an earlier letter of intent and a break-up fee. Read the SEC order.

These are findings about DWAC’s disclosure process and its dealings with TMTG. They are not evidence that Truth Social itself held an IPO. Keeping the entities separate also matters when describing the lawsuits and legal disclosures: a matter involving DWAC or its merger process is not automatically a lawsuit against the platform.
What lawsuits or settlements are involved?
TMTG’s website lists a July 19, 2026 announcement titled “Trump Media Settles Legal Disputes.” Its second-quarter 2026 filing says legal matters concerning events before the 2024 merger had recently concluded and reports related legal fees and litigation settlements. The accessible announcement and filing do not identify the parties, claims, settlement terms or whether the agreements include releases or confidentiality provisions. They therefore do not establish which specific cases were settled or that every lawsuit involving Trump or the company has ended. Company announcements; SEC company filings.

For the three months ended June 30, 2026, TMTG reported consolidated revenue of $1.6697 million and a net loss of $238.111 million. Those figures cover the parent company’s consolidated operations, not Truth Social alone. Who owns TMTG?
TMTG’s 2025 annual report says Donald Trump’s revocable trust beneficially owned approximately 41.1% of the company’s voting power as of the report date. That is a dated figure about voting power, not a current ownership guarantee or a measure of the percentage of outstanding shares. The same report separately describes ownership at the March 2024 merger closing, when Trump beneficially held approximately 57.6% of outstanding common shares and public stockholders held approximately 21.9%. Those figures refer to a different date and a different measure. TMTG’s annual report and other filings.
What else has happened to the corporate structure?
TMTG’s second-quarter 2026 filing said a proposed merger with TAE Technologies was pending and that a Form S-4 registration statement had been filed. It also said discussions about moving Truth Social into a separate publicly traded company were discontinued in June 2026. These developments do not change the fact that the completed 2024 transaction was the DWAC–TMTG merger. TMTG’s SEC filings.
