Before signing an international distribution agreement, a producer should be able to prove ownership of every right being licensed, see the grant broken down by territory, language, medium and window, and calculate exactly how money will flow from gross receipts to the producer. The contract must also match the clearances, insurance, delivery materials and approvals the production can actually provide. Because copyright and contract rules remain territorial, have qualified entertainment counsel review the agreement under the laws of every material market.
Start with a rights-and-risk file
Do not begin with the distributor’s headline advance or the phrase “all rights.” Begin by assembling the evidence that you control the work and can deliver what the contract promises. WIPO’s Rights clearance: A guide for independent filmmakers defines chain of title as “the unbroken record of ownership of the copyright and other legal rights in the film property.” Its Securing Rights — From Script to Screen calls chain-of-title documentation “the linchpin of distribution deals.” In practical terms, a distributor, insurer or financier may require a coherent file before it will exploit the film.
Inventory every underlying right
- The screenplay, treatment, book, article, life-story or other source material.
- Writer, director, producer and other creator agreements, including work-made-for-hire or assignment language where applicable.
- Performer releases and permissions for names, likenesses, voices and performances.
- Music composition, lyric, master-recording and synchronization rights.
- Clips, still photographs, stock footage, artwork, locations and archive materials.
- Trademark, publicity, privacy and other rights implicated by people, products or brands appearing in the program.
Check that each document permits the actual exploitation you intend to grant. A permission may cover inclusion in the film but not a trailer, soundtrack release, dubbing, subtitles, promotional stills, edited versions or a new platform. Record duration, territory, media, language and any approval or moral-rights restrictions for each item.
Test the file against the warranty
Make a rights matrix showing the right holder, document, permitted use, territory and any limitation. Then compare it with every warranty in the proposed agreement. If the contract says all rights are cleared for every territory and medium, but one contributor has granted only domestic television rights, the problem is contractual as well as operational. Resolve the gap or narrow the warranty before signing; do not rely on an informal email or an assumption that a later clearance will be acceptable.

Remember that international rights are territorial
Copyright protection, infringement analysis and many contractual remedies depend on national law. International instruments such as the Berne Convention establish minimum protections in some areas, but they do not create one uniform clearance rule or make a single domestic permission sufficient everywhere. List the countries in scope, identify restrictions affecting each market and ask counsel whether local rights, collective-management rules, censorship requirements or personality protections change the analysis.
A regional label can hide material differences. “Europe,” “worldwide excluding…” or “English-speaking territories” should be defined in an attached schedule, with an agreed treatment of territories that change status, disputed areas and countries where the distributor has no operating capability. If a territory is not intended to be licensed, state that it is reserved rather than leaving the boundary to interpretation.
Define exactly what rights you are granting
Read the grant clause as a list of permissions, not as a marketing description. A licence is normally time-limited; an assignment can transfer an interest more permanently. Confirm which legal arrangement the document creates and whether any rights remain with the producer.
Break down the grant
- Territory: name countries or use a precisely defined regional schedule.
- Language: identify original-language, dubbed, subtitled and multilingual rights.
- Media and formats: address theatrical, television, home video, transactional video-on-demand, subscription video-on-demand, ad-supported services, educational, airline, mobile and other relevant uses.
- Windows: state when each medium may be exploited and whether later-developed methods are included automatically or require consent.
- Exclusivity: specify whether the distributor is exclusive, non-exclusive or exclusive only for named rights and markets.
- Sublicensing: state whether the distributor may appoint local licensees, on what terms, and what reporting the producer receives.
- Promotion: cover trailers, clips, stills, festival use, press materials, social posts and soundtrack or promotional tie-ins.
- Reserved rights: list anything retained, such as educational, non-theatrical, remake, sequel, interactive or domestic rights.
If later technology is included, define a process for deciding whether a use is commercially comparable to an existing window and whether additional approval or compensation applies. Avoid relying on “all rights now known or hereafter devised” without a schedule that makes the economic and control consequences understandable.

Set a term that has consequences for performance
Record the exact start date, duration, renewal mechanism and end date. Ask what happens if the distributor has not released the work, has stopped exploiting it or has failed to account. Use objective milestones where possible: delivery acceptance, a first commercial release, a minimum number of markets, a deadline for a particular window or a required reporting event.
WIPO’s contractual-practices study describes distributors seeking long terms and producers seeking shorter ones. It also discusses extensions or reversion linked to exploitation and recovery. Those observations describe negotiating positions, not a current universal term or a recommended number of years. The practical question is whether the term is justified by the distributor’s investment and whether the producer can recover control after defined nonperformance.
Draft a workable reversion
Specify the notice process, cure period and evidence required to trigger reversion. Decide whether rights return automatically or only after a written notice, and require delivery of sublicence information and remaining materials when they return. Address what happens to existing third-party licences, unpaid sums, reserved territories and marketing assets. A reversion clause that cannot be administered is little protection, so assign responsibility for notices and records.

Put the exploitation sequence on a schedule. For each territory and medium, state the earliest release date, the distributor’s obligations and whether another window is blocked. A delay in one channel should not silently prevent the producer from licensing an available channel elsewhere.
Turn “best efforts” into observable actions
- Which territories must receive a theatrical, television, VOD or other release?
- By what dates must the distributor solicit buyers, deliver materials or launch a campaign?
- Is there a minimum number of releases, bookings, platform submissions or promotional activities?
- What reports show that the obligation was met?
- What remedy follows a missed milestone: cure, loss of exclusivity, rights reversion or termination?
WIPO identifies theatrical, television, VOD and other channels as distribution routes and notes the importance of VOD as a licensing opportunity. A traditional window order may not suit every documentary, platform or market; negotiate the sequence around the project’s audience, festival plans, broadcaster commitments and contractual restrictions.

Follow the money from gross receipts to your account
The headline minimum guarantee or advance is only one line in the economics. Request a complete payment waterfall that shows when the distributor is paid, which costs are recouped, and what amount is ultimately shared with the producer.
Define every deduction
- Advance or minimum guarantee, payment dates and whether it is recoupable.
- Distribution fee or commission, including the revenue base to which it applies.
- Marketing, publicity, festival, dubbing, subtitling, delivery and localization expenses.
- Third-party charges, collection-account fees, taxes, currency conversion and reserves.
- The order in which the advance, fee and expenses are recovered.
- Definitions of gross receipts, adjusted gross receipts, net receipts and producer receipts.
Require prior approval, a budget, a cap or another control for distributor spending that is recouped before the producer participates. State whether unapproved or unreasonable costs are excluded. The contract should say when statements are issued, when payment is due, what records are retained and whether the producer may inspect or audit them, including the notice period, audit frequency and treatment of an underpayment.
Model scenarios before accepting
Ask counsel or a finance professional to model at least a low-revenue, expected-revenue and strong-revenue case using the contract’s definitions. Show the effect of a fee applied before or after expenses, a reserve held for returns or chargebacks, and currency conversion. WIPO describes advances, expense allocation and revenue division, but its materials do not establish a current universal commission, minimum guarantee or expense percentage. Treat any figure in an offer as a negotiated term, not an industry rule.
Match warranties, indemnities and insurance to the evidence
Warranties allocate risk. Compare each promise with the rights matrix and clearance file, especially statements that the producer owns or controls all rights, that every use is non-infringing, or that the distributor has no clearance liability.
Limit avoidable exposure
- Qualify warranties by the documents delivered and knowledge where appropriate.
- Separate ordinary contractual remedies from third-party intellectual-property claims.
- Define indemnity scope, notice, control of the defense, settlement consent and cooperation duties.
- Check liability caps, exclusions, baskets, deductibles and any carve-outs for fraud or deliberate misconduct.
- Coordinate termination, take-down and correction remedies with the indemnity language.
WIPO warns that commissioning and distribution arrangements may place responsibility for third-party rights problems on the producer. Do not accept an indemnity broader than the risk you can investigate and insure.

Confirm errors-and-omissions requirements early
Ask whether the distributor, financier or insurer requires an errors-and-omissions policy, a clearance report, a specified limit, a particular form or approval of identified risks. Budget the premium and legal clearance work before promising that coverage will be in force. Policy requirements vary by project and territory; obtain the actual requirements rather than assuming a domestic policy will satisfy an international counterparty.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsSpecify delivery, localization and creative control
Attach a delivery schedule that lists technical masters, textless elements, captions, metadata, artwork, cue sheets, music documentation, legal documents and any required quality-control tests. State who pays for new versions, the deadline for each item, the acceptance procedure and the consequences of rejection. Define when delivery is complete so that an open-ended “delivery satisfactory to distributor” condition cannot delay payment indefinitely.
Control changes to the work
Say who may authorize dubbing, subtitling, retitling, edits for classification or censorship, length changes, replacement music and other alterations. Give the producer consultation or approval rights where the change could affect meaning, reputation, credits or future exploitation. Clarify whether a local licensee can make a change without the producer’s knowledge and how the final version is recorded.
Make marketing promises measurable
Identify the campaign budget, required materials, consultation timetable and any approval right over key art, trailers, synopsis, credits or claims. A promise to use “reasonable efforts” should be paired with reporting and a remedy if no meaningful release activity occurs. WIPO notes that producers may seek marketing commitments and consultation; the contract should make those expectations operational.

Verify the exact legal name, registration details, address and signing authority of the entity that will receive or administer rights. Review governing law, forum, arbitration or court procedure, service of notices, language of proceedings, assignment, change of control, insolvency and termination. A clause allowing assignment to an unknown affiliate can change the credit risk and practical control of the deal. Counsel familiar with the relevant territories should assess enforceability; WIPO materials explain the territorial nature of legal risk but do not decide the law of a particular contract.
Compare competing offers on one grid
When two or more offers exist, put identical questions to each proposal. A higher advance may be less valuable if it comes with a longer exclusive term, broad deductions or weak release obligations.
| Axis | Questions to ask |
|---|---|
| Rights scope | Which territories, languages, media, windows, promotional uses and sublicensing rights are included? What is reserved? |
| Term and control | How long is the grant, what triggers extensions, what milestones apply, and when can rights revert? |
| Distribution commitment | What exploitation or marketing actions must occur, in which markets and by what dates? |
| Economics | What advance or minimum guarantee, fee, recoupment order, expense cap, statement schedule, payment deadline and audit right apply? |
| Risk allocation | What warranties, indemnities, liability limits, clearance duties and E&O terms are required? |
| Delivery and localization | Which assets, formats, translations, edits, deadlines and acceptance tests are required, and who pays? |
| Counterparty and enforcement | Which entity signs and sublicenses, what authority and capability does it have, and where are disputes handled? |
Use the grid to expose trade-offs; it is not a substitute for valuing the audience, platform access or legal effect of a particular offer.
A disciplined pre-signing workflow
- Freeze the rights inventory. Collect every underlying agreement, release, licence, clearance and restriction in a dated folder.
- Build the territory-and-use schedule. Mark countries, languages, media, windows, exclusivity, sublicensing and reserved rights.
- Annotate the draft. Highlight grant, term, milestones, payment waterfall, deductions, warranties, indemnities, delivery and termination clauses.
- Run the financial model. Calculate producer receipts under several revenue and expense scenarios using the contract’s definitions.
- Confirm insurance and delivery. Obtain actual E&O, technical and localization requirements and price the work needed to satisfy them.
- Verify the counterparty. Check legal identity, authority, payment entity, assignment rights and dispute forum.
- Negotiate measurable protections. Replace vague promises with schedules, dates, caps, approval processes, reporting and reversion mechanics.
- Obtain territory-specific legal advice. Ask qualified entertainment counsel to confirm that the final language matches the rights evidence and the laws governing the deal.
- Preserve the closing set. Keep the signed agreement, exhibits, amendments, delivery acceptance, insurance certificates and sublicence reports together for future buyers, insurers and audits.
