The investment and license were separate parts of the announcement, and public information cited here does not establish whether the equity transaction closed or how it was ultimately handled.
What Disney and OpenAI announced
The agreement announced on December 11, 2025 combined several distinct plans: a limited content license, a proposed investment, and a customer relationship in which Disney expected to use OpenAI products. It was not simply a $1 billion payment for characters.
- A three-year license: Disney said OpenAI would be able to use a selected group of Disney, Pixar, Marvel, and Star Wars characters in specified experiences.
- More than 200 characters: The licensed set was described as more than 200 animated, masked, and creature characters, with selected costumes, props, vehicles, and environments.
- Sora videos: Users were expected to make short, prompt-driven social videos featuring eligible characters.
- ChatGPT Images: OpenAI also said still-image generation through ChatGPT Images would use the licensed intellectual property. That did not establish access across every ChatGPT mode or product.
- Planned investment: Disney announced a $1 billion equity investment in OpenAI and warrants to purchase additional equity.
Disney’s announcement also said it planned to use OpenAI APIs for products and tools, explore applications for Disney+, and deploy ChatGPT for employees. Those plans were distinct from the consumer character feature. Disney’s announcement and OpenAI’s announcement described the arrangement.
Which characters were supposed to be included?
The companies offered examples, not a complete public catalog. Named characters included Mickey Mouse and Minnie Mouse, Lilo and Stitch, Ariel, Belle, the Beast, Cinderella, Baymax, Simba and Mufasa. The announcement also cited characters from Encanto, Frozen, Inside Out, Moana, Monsters, Inc., Toy Story, Up, and Zootopia.

Marvel examples included Black Panther, Captain America, Deadpool, Groot, Iron Man, Loki, Thor, and Thanos. Star Wars and Lucasfilm examples included Darth Vader, Han Solo, Luke Skywalker, Leia, the Mandalorian, Stormtroopers, and Yoda. The public announcement did not provide an authoritative complete inventory, so the examples should not be treated as proof that every named character was technically enabled before the product ended.
What the license did—and did not—permit
This was a controlled license for a selected set of fictional characters and related elements, not blanket permission to use Disney’s entire intellectual-property portfolio. Disney specifically excluded talent likenesses and voices. A character’s inclusion therefore did not license an actor’s face or voice, nor did it authorize reproducing an entire film or treating a user-made clip as an official production.

- No performer likenesses or voices: The announcement expressly excluded them.
- No complete film rights: It described short-form user creations, not recreating or distributing Disney films.
- No stated blanket commercial rights: The announcement did not establish that users could sell, monetize, or otherwise commercially exploit outputs.
- No unrestricted catalog access: The rights applied to the specified licensed set and selected associated elements.
Whether a particular output could be used commercially would depend on applicable platform terms and other rights, not just the existence of the announced license. Character depictions can also differ by adaptation, era, territory, and rights holder. The announcement did not resolve those edge cases for users.
Was the $1 billion a license fee?
No: Disney described the $1 billion as an intended equity investment in OpenAI, alongside warrants for additional equity. An equity investment creates ownership or related financial exposure; a content license grants defined permission to use intellectual property. One does not automatically settle the economics or performance of the other.

The public announcement did not disclose the license’s full financial terms, such as separate licensing fees, revenue sharing, or minimum guarantees. It also did not establish the investment’s closing date, valuation, or final securities terms. Later reporting said Disney exited or quashed the broader Sora-centered arrangement after OpenAI announced the shutdown, but the cited public information does not prove that Disney lost $1 billion, received a refund, or completed a particular unwinding of the equity transaction. The Information’s summary covered the announced investment; Associated Press reporting and Axios covered the later shutdown and its implications.
What Disney planned to do with OpenAI technology
Disney’s proposed use of OpenAI extended beyond letting fans generate images and videos. The company said it planned to use OpenAI’s APIs in new products, tools, and experiences, explore applications for Disney+, and make ChatGPT available to employees. It also described a potential Disney+ destination for a curated selection of Sora-generated videos.

That curation plan was not a promise to publish every user submission. In a March 2, 2026 investor transcript, Disney executives characterized the Disney+ idea as a curated short-form feature. The transcript documents the plan; it does not establish that the feature launched or remains in development after Sora’s discontinuation.

OpenAI’s Help Center says Sora’s web and app experiences were discontinued on April 26, 2026. That removes the consumer product at the center of the planned short-video character feature. The original announcement had described functionality expected to begin in early 2026, but that expectation is not evidence of a currently available feature. There is no current Sora web or app experience through which readers can create Disney-character videos.

OpenAI’s discontinuation guidance listed September 24, 2026 as the scheduled end date for the Sora API. Because that date has passed, the guidance establishes the published sunset date, not whether every API access path was in fact shut off on that date. OpenAI also described an export workflow for existing Sora content and warned that data associated with Sora use may eventually be permanently deleted after the applicable export period. Anyone with existing Sora material should consult OpenAI’s current discontinuation guidance for the applicable export information.
Why the deal mattered beyond its short life
The agreement was a prominent example of a major entertainment company choosing controlled licensing as one response to generative AI, rather than relying only on enforcement against unauthorized uses. For OpenAI, Disney’s participation offered a high-profile authorized-content use case and a potential enterprise customer. For Disney, the plan offered a way to test fan participation and AI tools while restricting the licensed material to a selected set.
The arrangement also exposed risks that a license alone cannot remove: brand dilution, low-quality or offensive outputs, child safety and moderation, disputes about derivative works, and confusion between fan creations and official content. Linking the consumer initiative heavily to Sora created another risk: a platform-specific feature can become obsolete when the product changes. The agreement was strategically significant, but its announcement is not evidence that licensed AI entertainment became a durable business model.
What remains of the announcement
The historical announcement remains real, as do Disney’s stated plans to invest, license selected characters, and explore uses of OpenAI technology. What is no longer available is the announced public Sora experience for creating Disney-character videos. The status of the separate equity transaction and any surviving API or customer arrangements should not be inferred from the shutdown alone; the public details cited above do not establish their final terms or disposition.
