Salt-N-Pepa’s Fight for Their Masters: What the UMG Lawsuit Is About

The dispute between Salt-N-Pepa’s Cheryl James and Sandra Denton and UMG hinges on whether their 1986 agreements gave them copyright grants they could later terminate. A judge dismissed the case in January 2026; the Second Circuit heard the appeal in September.

Salt-N-Pepa’s Cheryl James and Sandra Denton sued UMG over early recordings, arguing that they could terminate grants of copyright under Section 203 of the U.S. Copyright Act. UMG disputed that they had made a grant they could terminate. A federal judge dismissed the case in January 2026, but the artists appealed, and the Second Circuit heard argument on September 22, 2026. The appeal’s post-argument outcome is not confirmed here.

What is the Salt-N-Pepa–UMG dispute about?

The case turns on what James and Denton’s 1986 agreements did with the copyrights in certain early sound recordings. The artists say the agreements gave them a copyright interest or an exclusive license that they could later terminate. UMG says the documents do not show that either artist made a terminable copyright grant.

That is narrower than a general question of whether artists can reclaim any recording after 35 years. Section 203 is the statutory termination provision the plaintiffs invoked, but this lawsuit concerns the legal effect of particular documents and recordings—not an automatic right to recover every artist’s masters after a set period.

The plaintiffs’ complaint described UMG as holding their music “hostage.” That is the artists’ characterization of UMG’s position, not a court finding or an independently verified statement by UMG.

Who is involved—and who is not?

Cheryl James and Sandra Denton are the plaintiffs. Former Salt-N-Pepa DJ Spinderella is not a party to this case. “Salt-N-Pepa” is often used as shorthand for the dispute, but the lawsuit was brought by James and Denton.

How the 1986 agreements became central

  1. Recording agreement: On May 15, 1986, James and Denton entered a recording agreement with Noise In The Attic Productions, Inc. (NITA), owned by producer Herb Azor. The agreement described NITA as the owner of rights in master recordings.
  2. Distribution agreement: A separate agreement that same day arranged distribution between Azor and Next Plateau Records. According to the district court’s opinion, James and Denton did not sign that distribution agreement.
  3. Inducement letter: The artists also signed an inducement letter connected to the distribution arrangement. The parties disagree about whether that letter, together with the related agreements, transferred or exclusively licensed copyright interests from the artists.
  4. Termination notice: The court record says James and Denton served a termination notice in 2022. UMG challenged its validity, arguing in part that the artists had not themselves made a grant that could be terminated.

The distinction between who signed which document matters because the dispute is not simply about who distributed or controlled the recordings. The legal question is whether the artists made a copyright grant covered by the termination provision.

What each side argues about the recordings

Issue James and Denton’s position UMG’s position
What the agreements granted The artists argue that their agreements effected a copyright transfer or exclusive license that they could terminate, as described in their appellate brief. UMG argues that the documents contain no terminable grant executed by the artists, as described in its appellate brief.
Who signed the distribution agreement The artists rely on their recording agreement and inducement letter as part of the connected arrangement. The district court noted that James and Denton were not signatories to the separate distribution agreement between Azor and Next Plateau Records.
Work-made-for-hire treatment On appeal, the artists argue that issues involving work made for hire should not have been resolved against them on a motion to dismiss. UMG raised work-made-for-hire arguments in disputing the termination notice.
Remixes and derivative works The artists argue that questions about remixes should not have been decided at the motion-to-dismiss stage. UMG raised an argument concerning derivative remixes.
District-court outcome The artists challenge the dismissal on appeal. The district court accepted UMG’s position that the pleaded documents did not show that the artists owned and transferred the copyrights they sought to terminate.

The positions in the appellate briefs are arguments by the parties, not findings by the appeals court. The district court ruled on a motion to dismiss, based on the pleaded record and documents before it.

What the district court decided

On January 8, 2026, the federal district court dismissed the claims. It concluded that the contracts did not show that James and Denton owned and transferred the copyrights they sought to terminate. Judge Denise Cote’s reasoning was summarized in the sentence, “Plaintiffs can only terminate copyright transfers that they executed,” quoted by the Associated Press in its report on the written opinion.

The decision was not a trial finding on every factual dispute. It resolved the case at the pleading stage, where the court considered the complaint and the documents before it.

Where the appeal stands

James and Denton appealed to the U.S. Court of Appeals for the Second Circuit in case No. 26-253. The court heard oral argument on September 22, 2026. Reporting on the argument described a judge as questioning the dismissal as to at least two albums. An oral-argument comment is not the panel’s decision, and the albums were not identified in the information available here.

As of October 4, 2026, a post-argument opinion or other disposition is not confirmed here. The district-court dismissal therefore should not be presented as the final outcome of the appeal, and the reported courtroom remark should not be treated as a reversal.

What the financial figures do—and do not—show

In their 2025 complaint, James and Denton alleged that “Push It” had more than 200 million streams, that synchronization licensing generated approximately $1 million over five months, and that all forms of exploitation generated tens of millions of dollars annually. These are figures alleged by the plaintiffs in a pleading, not independently audited statistics or findings adopted by the court.

The complaint also accused UMG of seeking to “hold Plaintiffs’ rights hostage even if it means tanking the value of Plaintiffs’ music catalogue and depriving their fans of access to their work.” That language states the plaintiffs’ characterization of UMG’s position; it should not be read as a neutral finding about UMG’s motive.

UMG’s response after the dismissal

In a statement reported by the Associated Press in January 2026, UMG said: “Even with the court’s complete rejection of their claims, we remain open and willing to find a resolution to the matter and turn the page so we can focus our efforts on working together to amplify Salt-N-Pepa’s legacy for generations to come.” The statement expressed willingness to resolve the matter; it does not establish that the parties settled.
