It never merged Netflix with HBO Max, never gave Netflix subscribers automatic HBO access, and never changed the current streaming catalog. The deal still matters because it showed how the next phase of television may be shaped by companies combining major libraries, premium brands, studios and distribution platforms. Warner Bros. Discovery is now pursuing a separate transaction with Paramount Skydance, but that deal has not yet produced a final consumer service or pricing plan.
What Netflix actually proposed to buy
Netflix proposed acquiring Warner Bros. Discovery’s Warner Bros. film studios, Warner Bros. television studios, HBO, HBO Max and associated libraries, licensing and distribution assets. The announcement did not describe a purchase of every Warner Bros. Discovery business: the company’s Global Networks operations were intended to be separated into a new entity commonly referred to as Discovery Global.
The headline figures describe different measures of value:

Netflix and Warner Bros. Discovery presented the proposal as a combination of Netflix’s global distribution with Warner Bros.’ studios, franchises and premium television. Those were company positions, not guarantees about savings, programming quality or consumer prices. The transaction required shareholder and regulatory approvals and was never completed.

How viewing could have changed if it had closed
A larger library in one search system
Netflix could have placed HBO programming and much of Warner Bros.’ film and television archive under the same corporate ownership as its own service. That might have made discovery easier for households currently moving between Netflix and Max, but ownership does not automatically put every title in one application.
Fewer bills—or a more expensive premium tier
A combined offering could have enabled a bundle, promotional pricing or one bill. It could also have produced a higher Netflix price, an HBO tier, separate charges for premium content or different advertising rules. No final plan established the price, catalog, launch date or whether existing Netflix customers would receive HBO programming at no extra cost.

Different release windows
Warner Bros. films can have theatrical, premium-video, international, syndication and other contractual windows. Netflix ownership would not have canceled those agreements automatically. A movie or series could therefore have remained on another service or arrived in a particular country years later than its corporate ownership suggested.
More centralized control
The combination would have brought a major studio, a premium television brand and a global streaming interface under one company. That could have concentrated decisions about recommendations, advertising inventory, release timing, licensing and viewer data. It might have reduced app-switching while increasing dependence on a single distributor.
Would HBO Max have become Netflix?
No announced consumer plan said that Max would close or that its application would immediately merge with Netflix. Several outcomes were possible:

- Max could have remained a distinct premium service owned by Netflix.
- Selected HBO and Warner titles could have moved gradually into Netflix.
- Netflix could have offered a combined interface while preserving HBO branding.
- Max could have continued for particular territories, distributors or customer groups.
- A hybrid model could have used Netflix for broad distribution while maintaining HBO’s premium identity.
The result would have depended on regulatory remedies, technology integration, licensing commitments, brand strategy and distributor negotiations. Corporate ownership, app integration, billing and content availability are separate decisions.
What would have happened to major Warner franchises?
The proposed package included HBO’s premium scripted catalog, Warner Bros. film and television libraries, DC properties and Harry Potter-related assets. Netflix could have managed those properties alongside its originals and used them across streaming, theatrical distribution, licensing, consumer products and games.

A title may be owned by Warner Bros. while an existing regional license keeps it elsewhere; a program may remain tied to a cable, syndication or international agreement; and libraries continue to rotate even after a merger.

Why regulators and competitors objected
Critics could point to concentration in subscription streaming, premium television and film distribution. A company that controls both a large platform and valuable programming might restrict licensing, favor its own service or gain bargaining leverage over creators, theaters, distributors and rival streamers. The concern was not only the number of shows, but control of the pipeline, customer relationship, recommendation interface, advertising market and release windows.
Netflix argued in its shareholder materials that the combination was largely complementary or vertical and had a clear regulatory path. That is Netflix’s argument, not a settled legal conclusion. Its shareholder statement sets out that position.

Netflix withdrew
Warner Bros. Discovery terminated the Netflix agreement on February 27, 2026, after accepting Paramount Skydance’s superior proposal. The termination is recorded in this SEC filing. Netflix therefore does not own HBO or Warner Bros. as a result of the abandoned bid.

Paramount became the relevant bidder
Paramount Skydance’s proposal targeted the broader Warner Bros. Discovery company and was reported at approximately $31 per share, with a larger overall transaction value than Netflix’s $72 billion equity-value proposal. A possible Paramount+/Max combination would create a different content and distribution strategy, potentially involving Paramount’s film, television, sports and advertising businesses.
Approval does not equal closing
Warner Bros. Discovery shareholders approved the Paramount transaction on April 23, 2026. The U.S. Department of Justice said in June that it had closed its investigation without finding likely harm to competition or consumers; that statement did not guarantee completion. A federal judge paused the transaction in July, and Paramount agreed to postpone closing while a state antitrust case proceeds. The UK Competition and Markets Authority cleared the transaction in August, while U.S. litigation remained unresolved.
Relevant updates include the WBD shareholder filing, DOJ statement, federal-pause report, agreed-delay report, and UK clearance release.
What viewers should do now
- Do not subscribe to Netflix expecting HBO or Warner Bros. access based on the canceled proposal.
- Check the current service carrying a particular film or series; ownership does not override territorial licenses.
- Expect theatrical, international, syndication and distributor agreements to delay any future catalog changes.
- Do not assume a Paramount+/Max merger, unified app or new price until the companies announce a completed transaction and consumer plan.
- Choose services by present viewing needs: Netflix for its current catalog, Max for its current HBO and Warner programming, and Paramount+ for its current Paramount offering.
The broader lesson for television
The failed bid demonstrated that streaming consolidation is about more than adding shows to an app. It is also about who owns studios, controls premium brands, sets release windows, sells advertising, licenses libraries and sees viewing behavior. A merger can close without an overnight catalog migration, and a large library can remain divided by rights contracts and geography.

For now, Netflix’s Warner Bros. plan is a historical proposal, not a current subscription benefit. The next major change viewers may experience will depend on whether Paramount Skydance’s Warner transaction survives U.S. litigation—and what the companies ultimately decide to do with Paramount+, Max, their libraries and their brands.
