What Netflix originally announced
On December 5, 2025, Netflix announced a definitive agreement to acquire a major group of Warner Bros. Discovery entertainment assets. The proposed transaction covered Warner Bros.’ film and television studios, HBO, HBO Max, and associated libraries after the planned separation of WBD’s Discovery Global business.
That distinction matters. The announcement was not necessarily a purchase of every asset owned by Warner Bros. Discovery. The linear-network business intended for separation was outside the principal Netflix transaction perimeter. Particular franchises, shows, films, and distribution rights would also have remained subject to existing licenses, contracts, closing conditions, and the precise assets included in the final transaction.

Netflix’s strategic logic was straightforward: combine its global streaming reach and production operation with Warner Bros.’ extensive film and television library, HBO’s premium programming, and HBO Max’s streaming business. If it had closed, Netflix would have gained significantly greater control over high-profile Warner Bros. and HBO intellectual property. That would not, by itself, have guaranteed that every title became a permanent Netflix exclusive or that every HBO Max program immediately appeared in the Netflix app.
Why Netflix’s deal collapsed
Paramount Skydance later increased its proposal to an all-cash offer of $31 per Warner Bros. Discovery share. It also offered transaction protections that WBD’s board regarded as superior to the Netflix agreement.
On February 26, 2026, WBD determined that Paramount Skydance’s revised proposal was the superior proposal. Netflix had an opportunity to match the offer but chose not to raise its bid. The following day, WBD terminated the Netflix merger agreement and entered into a merger agreement with Paramount Skydance. Paramount paid Netflix a $2.8 billion termination fee.
In other words, the Netflix plan was not quietly delayed or converted into a smaller streaming partnership. It was formally terminated and replaced by a different transaction.
How the two deal values compare
The announced Netflix transaction was valued at approximately $82.7 billion in enterprise value and $72.0 billion in equity value.

The Paramount Skydance agreement calls for $31.00 in cash per WBD share, with an estimated equity value of approximately $80.9 billion. Its estimated enterprise value is approximately $110 billion when assumed debt is included.
These figures should not be compared as though they describe exactly the same thing. Equity value generally describes the value paid to shareholders, while enterprise value includes the broader value of the business, including debt and other obligations. The different deal structures, transaction perimeters, and debt assumptions also affect the headline numbers.
What Paramount Skydance is proposing now
The current proposal is a Paramount Skydance acquisition of Warner Bros. Discovery. WBD stockholders approved the transaction on April 23, 2026.

Regulatory approvals do not mean the deal has closed
The transaction has cleared several significant regulatory hurdles:

- United States: On June 12, 2026, the U.S. Department of Justice closed its antitrust investigation. The DOJ concluded that the merger was not likely to harm competition or American consumers in streaming video, linear television, or theatrical film production and distribution.
- European Union: The European Commission cleared the transaction on July 22, 2026.
- United Kingdom: The Competition and Markets Authority cleared the transaction in early August according to contemporaneous reporting. The CMA’s public case materials and the broader U.K. public-interest process should be checked against the applicable decision document because public case pages and reporting can update on different schedules.
- Other jurisdictions: Paramount has stated that it received competition clearances in several additional jurisdictions.
A regulatory clearance means that a particular authority has finished its review or concluded that the transaction can proceed under the relevant legal standard. It is not a certificate that the companies have merged. The DOJ’s closing statement, for example, was an antitrust decision—not evidence that Paramount had taken ownership of WBD.
The remaining obstacle is U.S. state litigation
A coalition of U.S. state attorneys general is challenging the Paramount-WBD transaction. A federal court order has paused closing while that challenge proceeds. The parties agreed not to close during the litigation period.

The companies had originally targeted the third quarter of 2026. Reporting available before August 12 indicated that the parties had agreed to delay closing well into 2027 or until the state litigation is resolved. That does not mean a 2027 closing is guaranteed. The eventual timing could depend on the court’s decisions, appeals, settlement terms, and any additional closing conditions.
This is why the most accurate wording is that Paramount Skydance has a pending agreement to acquire WBD. It is not accurate to say that Paramount has already bought Warner Bros. Discovery.
What this means for Netflix subscribers and HBO Max viewers
There is no verified basis to say that HBO Max has moved into Netflix, that Netflix subscribers automatically receive HBO Max programming, or that HBO Max has been shut down because of the proposed Paramount transaction.

Those were possible consequences people could reasonably discuss when Netflix was the proposed buyer. They are not established results of the current deal. Since Netflix’s agreement was terminated before closing, the announced Netflix acquisition did not transfer HBO Max into Netflix’s service.

But those decisions depend on the deal closing and on later choices by the companies. The transaction announcement alone does not establish where a particular film, series, or documentary will stream.
What documentary viewers should expect right now
For viewers who primarily follow documentaries, the practical answer is to treat current availability as a separate question from corporate ownership. A title’s location can depend on its country, existing licensing agreement, release window, and the service that currently holds its rights.
- Do not assume a Warner Bros. or HBO documentary has moved to Netflix.
- Do not assume Netflix, HBO Max, or a future Paramount service will carry a specific title after closing.
- Check the current service listing for the relevant country rather than relying on the proposed merger.
- Expect future catalog and bundle announcements only after the transaction’s legal status becomes clearer.
For now, the acquisition story is primarily about ownership and litigation—not an announced change to the documentary catalog available to subscribers.

The headline Netflix to acquire Warner Bros. film studios, HBO, HBO Max in massive deal describes a real announcement from December 2025, but it is now stale and misleading without a historical qualifier.
