Setting up a company in the Hainan Free Trade Port starts with ordinary company registration, but registration alone does not secure Hainan’s headline tax or customs benefits. A foreign investor must choose an available legal form, pass the foreign-investment and licensing checks, file with the competent market-regulation authority, and then prove that the business is in an encouraged industry and is substantively managed in Hainan.
The reduced 15% corporate income tax rate is conditional: the company’s qualifying main business must generally produce at least 60% of total revenue, and its management, personnel, accounting, operations and property must be genuinely controlled from Hainan. Goods businesses face a separate first-line/second-line customs regime, so zero-tariff treatment in the port does not mean every shipment entering mainland China is tax-free.
What a Hainan company gives you—and what it does not
A Hainan Free Trade Port company is a mainland Chinese legal entity registered in Hainan. It can be foreign-invested, subject to China’s foreign-investment access rules and any sector-specific licensing or ownership limits. The registration creates the legal person; it does not automatically create eligibility for the 15% corporate income tax rate, zero-tariff imports, overseas-income relief, or other preferential treatment.
Before filing, separate four questions that are often conflated:
What’s actually slowing this PC down?

#1 Best Overall
- Can the proposed sector accept foreign investment? Hainan applies pre-establishment national treatment plus a negative-list system, including a Hainan-specific negative list.
- Can the company be registered in the chosen form? Hainan’s official guide identifies limited liability companies and joint-stock limited companies.
- Will the business qualify for a tax preference? The 15% rate requires an encouraged industry and substantive operation in Hainan, not merely a Hainan address.
- Will the business import or export goods? Customs treatment depends on whether goods cross the first line into or out of the port, the second line between Hainan and mainland China, and whether the goods and enterprise meet the applicable lists and conditions.
Use the Hainan government’s foreign-invested-enterprise registration guide as the starting point for the filing route, then obtain a current, business-specific checklist from the local authority.
Choose the legal form before preparing documents
The registration guide lists two forms for foreign-invested enterprises. The right choice depends on the number and type of investors, the planned governance model, and whether the business expects to issue shares or raise capital through a share structure. The available evidence does not establish a universal “best” form.
| Form | What the guide identifies | Questions to resolve before filing |
|---|---|---|
| Limited liability company | Requires a legally compliant number of shareholders; subscribed shareholder contributions stated in the articles of association; articles jointly formulated by the shareholders; a compliant name and organizational structure; and a registered address. | Who will hold the equity? What contributions will each shareholder subscribe? Who will serve in the required governance and management roles? Can the proposed address be used as the registered address? |
| Joint-stock limited company | Has its own requirements concerning shareholders or initiators, subscribed or paid-up capital, share issuance, articles of association, governance structure and registered address. | Do investors need a share-issuance structure, a larger investor base or a governance model designed for future equity financing? Which capital and share-issuance requirements apply to this proposed company? |
The guide confirms that both forms exist, but it does not provide a complete comparative recommendation. Do not select a joint-stock company simply because it sounds more international, or an LLC simply because it is common; align the form with the ownership and financing plan that will be documented in the filing.
Check foreign-investment access and licensing first
Hainan’s Foreign Investment Regulation, passed on July 30, 2025 and published on August 1, 2025, uses the national-treatment-plus-negative-list framework. A sector outside the applicable negative list is not necessarily free of regulation: separate approvals, permits, qualification rules, data controls, or ownership conditions may still apply.
Make a pre-filing sector decision
- Describe the actual business, not a broad label. Identify the products or services, customers, revenue streams, data handled, physical activities, and intended import or export flows.
- Check the current Hainan and national negative lists. The regulation page establishes the framework, but the sector-by-sector restrictions must be checked in the current rules.
- Identify permits and ownership limits. A market-regulation filing does not replace an industry license or approval where one is required.
- Map the revenue model to the tax catalogue. If the 15% rate matters, compare the real main business with the current encouraged-industry catalogue before incorporating.
If the business description changes after registration, the original tax or licensing analysis may no longer fit. Keep the business scope, contracts and accounting classifications consistent with the activity actually performed.
Registration requirements for a foreign-invested company
Baseline requirements for an LLC
For a limited liability company, the official guide lists these baseline elements:
- A legally compliant number of shareholders.
- Subscribed shareholder contributions set out in the articles of association.
- Articles of association jointly formulated by the shareholders.
- A compliant company name and organizational structure.
- A registered address.
These are the legal building blocks, not a universal document pack. The guide does not state one standard set of foreign-shareholder identification documents, one authentication method, one translation rule, or a complete online filing sequence for every case.

A joint-stock company has separate rules on shareholders or initiators, subscribed or paid-up capital, share issuance, articles, governance and address. Obtain the current requirements for the exact ownership and capital structure rather than adapting an LLC form.

Step-by-step registration route
- Define the investor and ownership structure. Record each shareholder or initiator, its contribution or shareholding, the proposed legal representative and the governance roles required for the chosen form.
- Write the real business scope. Include the activities the company will actually perform and flag any activity that may require a separate permit or foreign-investment review.
- Secure a compliant registered address. Confirm that the address can be used for company registration and that the company can maintain its statutory records and management there.
- Prepare the articles of association. For an LLC, the shareholders jointly formulate the articles and state the subscribed contributions. For a joint-stock company, include the applicable share and governance provisions.
- Confirm the name and organizational structure. The name must comply with the current naming rules, and the proposed governance structure must match the selected company form.
- Request the current foreign-invested-enterprise checklist. Ask the Hainan e-Registration service or the competent local market-regulation office which identity, authorization, notarization, authentication and translation documents apply to the specific investor and jurisdiction.
- Prepare notarized or authenticated documents where required. The official guide warns that such documents may be needed. Requirements can vary with the investor’s country, document type and filing route.
- Submit to the competent market-regulation authority. The guide identifies the Hainan Provincial Administration for Market Regulation and municipal market-regulation offices in Haikou, Sanya and Danzhou as application channels.
- Check the live status and correct deficiencies. Submit accurate information, respond to requests for correction, and verify current service contacts and hours directly with the authority.
- Keep the complete evidence file. Retain the submitted forms, shareholder resolutions, articles, address evidence, authentication records and authority notices for later tax, banking, licensing and compliance work.
The guide’s listed contacts and opening hours are a starting point, not a guarantee that details remain current. Confirm them locally immediately before filing.
Registration is not tax eligibility
The controlling tax rule is the Ministry of Finance and State Taxation Administration’s Notice on Preferential Corporate Income Tax Policies for Hainan Free Trade Port (Finance and Taxation [2020] No. 31). Its core formulation is:
“对注册在海南自由贸易港并实质性运营的鼓励类产业企业,减按15%的税率征收企业所得税。”
Translation: “For encouraged-industry enterprises registered in the Hainan Free Trade Port and conducting substantive operations, corporate income tax shall be levied at a reduced rate of 15%.”

There are three linked tests: registration in Hainan, membership in an encouraged industry, and substantive operation in Hainan. Failing the substantive-operation test excludes an entity even if it has a Hainan registration.
Test 1: the business must be encouraged
The company’s main business must fall within the applicable encouraged-industry catalogue. The tax notice uses the main business and its revenue as the industry test. Because the catalogue and implementation rules can change, compare the company’s actual contracts and invoices with the current catalogue rather than relying on a broad industry label.
Rank #3
Test 2: qualifying main-business revenue must reach 60%
The qualifying main-business revenue must account for at least 60% of total revenue. This is a revenue test, not a statement that the company may register any business scope it wishes and later call the preferred activity its main business. Build a revenue classification that can be supported by contracts, invoices, accounting records and operational evidence.
Test 3: operations must be substantive in Hainan
Substantive operation means the actual management body is in Hainan and exercises substantive, comprehensive management and control over production and operations, personnel, accounting and property. A mailbox, nominal office or paper-only management arrangement is not the standard described by the notice.
Before claiming the rate, ask where decisions are made, where key staff work, where books and accounting controls are maintained, who controls company property, and where the operating activity generating the income is actually managed. The evidence should be consistent across governance records, employment arrangements, accounting systems, contracts and premises.
Group and branch treatment
Where a qualifying enterprise is headquartered in Hainan, the 15% rate applies only to the income of the Hainan head office and its branches. Where the head office is outside Hainan, the rate applies only to the income of qualifying Hainan branches. The location and status of each entity therefore matters; a group cannot automatically apply 15% to all of its income because one Hainan company exists.
How long is the preference available?
The Ministry of Finance and State Taxation Administration extended the relevant Hainan corporate income tax preferences and the preferential catalogue for tourism, modern services and high-tech enterprises through December 31, 2027. The extension is not permanent. Confirm the current catalogue, effective dates and application rules before making a long-term investment decision.

Specified income from new overseas direct investment
Qualifying tourism, modern-services and high-tech companies may receive corporate income tax relief on specified income from new overseas direct investment. The original notice covers operating profit from newly established overseas branches and certain dividends from overseas subsidiaries, subject to conditions including shareholding and the foreign country’s statutory tax rate. This is not a blanket exemption for all overseas revenue; check the current catalogue and each ownership and foreign-tax condition.
Rank #4
Fixed and intangible assets
The original notice allowed qualifying newly acquired or self-built fixed or intangible assets costing no more than RMB 5 million per unit to be expensed immediately. Higher-value items could use shortened or accelerated depreciation or amortization. The threshold and treatment come from the original policy; do not assume that every asset, accounting period or company qualifies without checking current rules and documentation requirements.
Individual income tax relief is a separate question
Hainan’s 2025 investment guide describes personal income tax relief for eligible individuals subject to conditions including residence and talent or earnings criteria. The figures stated in that guide are 183 days and RMB 300,000 for the described criteria. Those figures do not create a general corporate tax entitlement, and employee or founder eligibility must be assessed separately.
Do not assume a future tax system is already operating
The investment guide says a simplified tax system and retail-stage sales tax are planned “upon the implementation of island-wide special customs operations.” That wording is conditional. It does not establish a date or prove that all listed taxes have already been replaced. Use the current implementation notice and the company’s actual tax status rather than planning on a future system.

Hainan’s July 23, 2025 customs notice creates two boundaries:
- First line: between Hainan and outside China’s customs territory.
- Second line: between Hainan and mainland China.
The distinction matters because a shipment can receive treatment when it enters Hainan and still create an import-tax liability when it moves across the second line into mainland China.
When zero-tariff treatment may apply
For qualifying Hainan-registered independent legal-person enterprises and other specified entities, imported goods outside the dutiable-goods catalogue can qualify for exemption from import duty, import VAT and consumption tax. The goods remain subject to electronic customs accounts and customs checks. Zero tariff is therefore conditional, list-based and controlled; it is not a universal exemption for every import or every company.

The 2025 Hainan investment guide describes categories including certain self-use production equipment, commercial vehicles and yachts, and listed raw and auxiliary materials. Each category has eligibility and list conditions.
Moving goods to mainland China
Goods moving from Hainan to mainland China may trigger import taxes. The customs notice provides a tariff exemption for goods produced by encouraged-industry enterprises when the goods contain imported materials and achieve at least 30% processing value added in Hainan. Import VAT and consumption tax still apply even where the tariff exemption is available.
The notice says detailed customs calculation and administration measures will be set separately. Do not present an unsupported formula for the 30% calculation. Confirm the applicable customs data, production records, valuation method and operating controls for the specific goods.
What a trading or manufacturing company should document
- The enterprise’s legal-person and encouraged-industry status.
- The exact goods classification and whether the goods appear on the relevant dutiable or zero-tariff lists.
- Imported material quantities, origin, value and use in production.
- Processing steps performed in Hainan and the records supporting value added.
- Electronic customs-account entries and inspection records.
- Whether the goods remain in Hainan, leave through the first line, or cross the second line into mainland China.
Additional controls can apply outside special customs-supervision areas. Obtain a product-specific customs ruling or written guidance before committing to a supply chain built around a presumed exemption. The primary notice is the Ministry of Finance’s Finance and Customs [2025] No. 12 notice.

The registration guide does not provide a complete recurring compliance calendar. Deadlines and filings depend on the company’s activities, staffing, tax status, licenses, transaction flows and foreign-investment position. A newly registered entity should not assume that incorporation completes tax, employment, customs or licensing compliance.
Confirm each compliance stream with the responsible authority
| Area | What must be confirmed for the specific company | Why a generic calendar is unsafe |
|---|---|---|
| Market regulation | Annual or periodic company reporting, changes to registered information, and records required for the chosen legal form. | Requirements can depend on entity status, changes and the current reporting system. |
| Tax | Corporate income tax, VAT or other indirect taxes, withholding, invoicing, accounting records and evidence for any preferential treatment. | Tax treatment varies with activities, transactions, taxpayer status and claimed incentives. |
| Payroll and social insurance | Employer registration, individual withholding, payroll records and social-insurance obligations for actual employees. | There is no universal staffing profile or deadline established by the cited sources. |
| Industry permits | Licenses, approvals, data or safety filings and renewal obligations for the actual business scope. | These are sector-specific and cannot be inferred from company registration. |
| Foreign investment | Any reports or updates required because of the investor, ownership changes, capital movements or regulated sector. | The negative-list framework does not itself provide every reporting step. |
| Customs | Declarations, electronic account controls, list eligibility, inspection records and second-line tax treatment. | Goods classification and movement determine the obligation. |
Evidence to preserve for the 15% rate
- Current catalogue analysis showing why the main business is encouraged.
- Revenue schedules demonstrating the 60% main-business threshold.
- Board, shareholder and management records showing where decisions are made.
- Employment and personnel records supporting actual Hainan operations.
- Accounting ledgers, invoices and bank records consistent with the claimed operations.
- Property, production and service records showing where assets and activities are controlled.
- Branch and head-office income allocations where the group has entities in multiple locations.
Have the tax bureau, market-regulation authority, relevant licensing regulator and a qualified local accountant or lawyer review the company-specific calendar. Treat any published service contact, catalogue or customs list as something to recheck before relying on it.
A practical go/no-go checklist
Use this sequence before spending on incorporation, premises or imported inventory:
- Sector access: Is the proposed activity open to foreign investment under the current Hainan and national negative lists?
- Licensing: Are all permits, approvals and ownership conditions identified?
- Legal form: Does an LLC or joint-stock company fit the investors, governance and capital plan?
- Address and substance: Can the company maintain its actual management, people, accounting, operations and property controls in Hainan?
- Tax catalogue: Is the real main business in the current encouraged-industry catalogue?
- Revenue mix: Can qualifying main-business revenue realistically stay at or above 60% of total revenue?
- Income attribution: Which income belongs to the Hainan entity, and which belongs to a non-Hainan head office or branch?
- Customs route: Will goods remain in Hainan, enter from outside China, or cross the second line into mainland China?
- Customs evidence: If relying on the 30% processing-value-added rule, can the company produce the required production and customs records?
- Calendar: Has a current schedule been confirmed with each responsible authority rather than copied from a generic guide?
Bottom line for overseas founders
Hainan can be a credible base for a foreign-invested business, but the value proposition is conditional. The first step is a compliant registration through the provincial or local market-regulation authority; the second is proving that the business is genuinely operated in Hainan and belongs to an encouraged industry. The 15% corporate income tax preference is available only within those boundaries, with the current extension running through December 31, 2027.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteFor goods businesses, model the first line and second line separately. A qualifying zero-tariff import into Hainan can still face taxes when goods move to mainland China, and the 30% processing-value-added rule removes tariff—not import VAT or consumption tax. Verify the current industry catalogue, filing checklist, customs lists and company-specific compliance calendar before committing capital.
