Choose the route by the work it will perform, the rights it needs, and the audience it can actually reach—not by the label on the business card. A sales agent usually represents your film to buyers; a distributor takes specified rights and exploits them through release and licensing channels; self-distribution keeps selected rights with you but transfers delivery, marketing, sales administration, and reporting to your team.
The right answer depends on your likely buyers, existing audience, territory and media rights, cash and time, and the contract’s deductions and exit terms. A distributor is not automatically better than an agent, and a do-it-yourself release is not automatically cheaper. Compare the complete deal and the labor it removes before signing.
Start with the decision that matters: who will do what?
Documentary companies often use overlapping labels. One firm may act as a sales agent in one territory, a distributor in another, and an aggregator for digital platforms. Read the agreement’s operative clauses rather than relying on the title of the company.
Sales agent or producer representative
A sales agent pitches or licenses a project, work-in-progress, or completed film to broadcasters, distributors, licensees, festivals, or other buyers on your behalf. The mandate may cover a particular territory, language, medium, or market. You normally retain ownership while authorizing the representative to seek and negotiate transactions within a defined scope.

The agent’s value is access and deal-making. Ask which buyers it will approach, whether it has current relationships relevant to your subject, and what comparable documentaries it has actually placed. Confirm whether the agent may bind you to a deal, appoint subagents, or grant sublicenses, and whether the agency is exclusive.
Distributor
A distributor receives specified rights and exploits them directly or through downstream distributors. Depending on the contract, that can include theatrical bookings, broadcast licensing, digital release, physical media, educational sales, publicity, advertising, fulfillment, or several of these. A distributor may not operate every channel itself; it may sublicense or appoint regional partners.
The practical question is not “Does this company distribute films?” but “Which rights, territories, media, and release activities will this company take on, and what will it deduct before I am paid?” Require those answers in the contract.
Self-distribution
Self-distribution means you control some or all sales and release activity. You might sell directly to institutions, license broadcasters yourself, run screenings, or use a digital delivery service to place the film on selected platforms while retaining other rights. This route can preserve flexibility, but it does not eliminate work. You become responsible for mastering and delivery, metadata, platform administration, audience development, customer service, payment reconciliation, tax records, and continuing promotion.
DIY is most plausible when you have an identifiable niche audience, a direct way to reach it, the technical ability to meet delivery specifications, and enough time and cash to sustain marketing after launch. A platform listing alone does not create discovery.
A practical framework for choosing your route
1. Map audiences and buyers before discussing companies
List the audiences most likely to pay and the organizations that control access to them. A film may have several distinct markets:
- Broadcasters and subscription or transactional video services.
- Theatrical, festival, and community screening audiences.
- Direct-to-consumer viewers reached through an existing mailing list, membership, or social community.
- Schools, colleges, universities, academic and public libraries, museums, nonprofits, and houses of worship.
Subject matter, financing, and distribution strategy should be considered together. Speak with likely buyers and distributors early when possible; their requirements can affect deliverables, premiere status, running time, captions, music clearances, and the timing of your release.

2. Test whether an intermediary’s reach is real for your film
Ask for comparable titles, actual placements, territories covered, buyer categories, and a written sales or release plan. A long list of films on a website is not evidence that the company can sell a documentary like yours. Speak directly with filmmakers whose films it represented. Ask where the films landed, how long deals took, what promotion occurred, how expenses were handled, and whether statements arrived on time.

For a distributor, examine channel operations: who will handle bookings, platform delivery, publicity, advertising, educational licensing, and physical fulfillment. For self-distribution, measure your own reach instead of assuming that a general audience will find the film.
3. Model the complete money flow
Do not compare percentages in isolation. Build a waterfall showing the order in which money moves:
- Gross receipts paid by a broadcaster, platform, school, theater, or consumer.
- Permitted taxes, refunds, payment processing, or collection charges.
- Sales commission or distribution fee.
- Approved, recoupable third-party costs.
- Recoupment of any advance or minimum guarantee.
- Sub-distributor or regional partner charges.
- The producer’s contractual share.
“Gross,” “adjusted gross,” and “net” have no useful meaning without definitions. A lower commission on a broad expense base can produce less money than a higher commission with tightly limited deductions. Require film-specific expenses to be documented, preapproved where possible, capped, free of undisclosed markup and overhead, and deducted only once.
4. Price the DIY workload as labor and cash
Make a written list of every task you would otherwise outsource:
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute- Creating masters, captions, subtitles, trailers, artwork, stills, metadata, and publicity materials.
- Encoding and delivering files to each service or institutional customer.
- Setting prices, territories, windows, rental periods, and consumer terms.
- Building email, press, community, and partnership campaigns.
- Answering support requests, processing refunds, and reconciling payments.
- Maintaining rights records, tax documents, statements, and customer data.
- Continuing promotion after the launch spike.
Assign realistic hours and outside costs to each item. If you cannot perform the work consistently for the first year, a partner may be worth its fee. If you already have an engaged audience and strong operational capacity, retaining rights may produce more strategic value.
5. Protect rights and an exit route
Grant only the media and territories necessary for the proposed plan. State the term, exclusivity, renewal process, and rights that remain with you. Add performance, termination, or reversion provisions where you can. A contract should explain what happens if the company does not release the film, stops reporting, becomes insolvent, or misses payment deadlines.

6. Treat educational rights as a separate decision
Educational and non-theatrical licensing can be valuable but operates differently from consumer sales. Institutions may need public-performance permission, institutional pricing, purchase orders, invoices, and discussion or teaching materials. Compare a specialist educational partner’s reach and service with an all-rights distributor’s educational sublicensing plan. Prevent overlapping grants that allow two companies to claim the same school, library, or museum sale.

Understanding the financial trade-offs
Sales-agent economics
Older industry guidance from the International Documentary Association describes representatives charging “10 percent or more of the deal.” That figure is legacy guidance, not a current universal rate. Confirm the commission base, whether expenses are additional, when commission is earned, and whether the agent receives commission on renewals, extensions, sublicenses, or deals you sourced.

An IDA distribution-contract guide, originally published in 1989, reports television and theatrical distribution fees ranging from 20% to 40% before expenses. Treat that as a historical illustration, not a market benchmark. The agreement controls. Model several scenarios, including a low-revenue case in which expenses consume most receipts and a higher-revenue case in which the percentage difference matters.
An advance can improve cash flow, but it may be recoupable before your revenue share begins. As Mitchell Block put it, “The largest advance is not always the best deal.” Compare the advance, recoupment priority, rights scope, marketing commitment, term, and reversion together.
Educational commissions and costs
An IDA article on educational distribution reports commissions often in the range of 50% to 70% of gross receipts and notes that replication, encoding, advertising, and discussion-guide costs may be recouped before the producer is paid. The article’s publication date was not established in the accessible material, so verify current terms directly. Ask whether the percentage applies to all educational receipts, whether expenses are capped, and whether the company seeks an exclusive window.
A simple comparison worksheet
| Item | Agent or distributor offer | Self-distribution estimate |
|---|---|---|
| Expected gross receipts | Use a conservative, documented scenario. | Use audience size, conversion assumptions, and price points you can defend. |
| Commission or service fee | Apply the contractual percentage and base. | Enter platform, payment, fulfillment, and contractor costs. |
| Recoupable expenses | List each category, cap, approval rule, and markup. | Include mastering, captions, advertising, travel, and materials. |
| Labor | Hours retained for approvals, delivery, and accounting. | Hours for marketing, support, reporting, and sales. |
| Net to producer | Calculate in the contract’s stated order. | Calculate after direct costs and the value of your labor. |
| Rights and term | Record media, territory, exclusivity, years, and reversion trigger. | Record rights retained and any platform-specific grant. |
Rights terms that determine whether a deal is safe
Scope of grant
Specify media, platforms, formats, territories, languages, and whether rights include theatrical, broadcast, digital, physical, educational, non-theatrical, promotional, and derivative uses. Reserve every right not granted. The IDA contract guidance states: “The rights granted to the distributor should be specific as to territory, license period and media.”

Exclusivity and sub-distribution
Define whether the grant is exclusive and to whom. If the company can appoint subagents or sublicense, require limits on their territories and media, disclosure of their fees, and responsibility for their reporting and payment. Prevent a general all-rights clause from unintentionally blocking a festival, community-screening, or educational plan you intend to run yourself.

Term, renewal, and reversion
Industry agreements can run from one or two years to ten or fifteen years, according to historical IDA guidance. Those examples are not present-day benchmarks. Tie the term to a realistic release plan, make renewals explicit, and negotiate a performance threshold or termination right if the film is not released or meaningfully marketed. Include notice-and-cure periods and a clear process for returning masters, metadata, and unsold rights.
Marketing and release promises
Put promised campaigns, release dates or windows, minimum activity, and committed spend in the signed agreement. State who approves advertising, whether your approval is required for changes to the film or key art, and what evidence of performance you will receive. A verbal promise to “push” the film is not a measurable obligation.
Accounting, payment, and audit
Set statement frequency, payment deadlines, currency, reporting detail, reserve rules, and the records you may inspect. Define interest or remedies for late payment if appropriate to your jurisdiction. Audit rights should be practical: notice period, access to supporting documents, treatment of underpayments, and allocation of audit costs.

Build the release package
Prepare a high-quality master, captions, subtitles where needed, trailer, poster and stills, synopsis, credits, ratings or content notes, metadata, press kit, and proof of rights. Keep versioned files and a rights grid showing where each element may be used.
Choose channels deliberately
Separate direct sales, transactional rentals, subscriptions, community screenings, educational licenses, and broadcast negotiations. A digital intermediary may deliver to selected services while you retain theatrical, educational, or direct-sales rights. Review current platform terms at the time of delivery; older guidance may no longer describe eligibility, fees, file specifications, or payment schedules.
Create an audience plan
Identify partners already trusted by the film’s niche: relevant organizations, newsletters, educators, museums, community groups, subject-matter experts, and journalists. Build a calendar for announcement, trailer, premiere or event, launch, follow-up screenings, and evergreen outreach. Track source, conversion, territory, and repeat purchases so you can stop spending on channels that do not work.

Run the administration
Use a dedicated ledger for gross receipts, refunds, taxes, platform deductions, licenses, and marketing costs. Reconcile statements monthly. Keep customer permissions and screening licenses organized, and respond promptly to access or captioning problems. The administrative burden is recurring, not a one-time launch task.
Educational and non-theatrical rights need special care
Educational rights can include sales, rentals, or licenses to schools, colleges, universities, libraries, museums, community and nonprofit organizations, and houses of worship. The market is diffuse and relationship-driven, so a specialist may provide useful institutional access that is difficult to build alone.
An ordinary consumer DVD, stream, or download does not automatically grant permission for a public performance. Institutional customers commonly need a license to show the film publicly. U.S. copyright law includes a fact-specific face-to-face teaching exception for certain nonprofit classroom uses, but that exception does not cover every screening or venue. Obtain jurisdiction-specific legal advice for a planned event and state the permitted uses clearly on invoices and license documents.
When educational rights are handled by a specialist, compare commission, recoupable production and advertising expenses, term, exclusivity, reporting, and the overlap with any primary distributor. Require a clean process for returning rights and customer records when the relationship ends.

Questions to ask before accepting an offer
- Which exact buyers, territories, media, and comparable titles will you pursue?
- What authority do you receive, and may you appoint subagents or sublicense?
- What is exclusive, for how long, and what rights remain reserved?
- What release, sales, publicity, and marketing work is promised in writing?
- Is compensation calculated on gross, adjusted gross, or net, and how is each term defined?
- Which expenses are deductible, who approves them, what are the caps, and is markup prohibited?
- How is an advance recouped, and when does the producer’s share begin?
- When will statements and payments arrive, and what audit rights apply?
- What happens if the film is not released, the company stops reporting, or the company becomes insolvent?
- Which delivery materials, clearances, warranties, indemnities, and insurance are required?
- Can I speak with filmmakers whose comparable documentaries you have handled?
Which route fits common situations?
Choose a sales agent when
- Your strongest opportunity is a set of broadcasters, international buyers, or specialized licensees you cannot approach efficiently.
- The agent can demonstrate current relationships and comparable placements.
- You want market-by-market representation rather than a broad rights grant.
- You can manage approvals, clearances, delivery, and accounting oversight.
Choose a distributor when
- The company offers a concrete release and marketing operation that materially expands access.
- You need coordinated exploitation across several channels or territories.
- The rights scope, deductions, term, reporting, and reversion provisions are acceptable.
- The distributor’s operational work is worth the fee and any exclusivity.
Choose self-distribution when
- You can identify and reach a specific audience directly.
- You have the technical package, marketing budget, and staff time for ongoing operations.
- Retaining control over windows, pricing, data, or educational and community rights is strategically important.
- You are prepared to measure results and change tactics without expecting a platform listing to create demand.
Use a hybrid plan when rights can be cleanly separated
A documentary can combine routes: a sales agent for international broadcast, direct bookings for community screenings, a specialist for educational licenses, and self-managed outreach to an existing membership. A hybrid plan works only when contracts define territories, media, windows, customer ownership, and reporting well enough to prevent conflicting grants.
Get professional review before signing
Have an entertainment lawyer experienced in film distribution review the full agreement, especially all-rights grants, net-revenue definitions, expense language, indemnities, insurance, and termination. Historical guides are useful for questions to ask, but they are not current rate cards or legal advice for a particular jurisdiction. Mitchell Block’s warning remains useful: “There is no such thing as a standard deal.”
