Bynoe, Egon P. Durban, Dwayne Johnson, Bradley A. Keywell, Nick Khan, Steven R. Koonin, Jonathan A. Kraft, Sonya E. Medina, Nancy R. Tellem, and Carrie Wheeler.
Which board the phrase “WWE board” refers to
WWE is a wholly owned subsidiary of TKO Group Holdings. TKO was formed when WWE and the Ultimate Fighting Championship (UFC) combined in 2023, and it is the publicly reporting company. Its proxy statement defines “Board” as the board of TKO itself, so the directors who set policy for WWE, UFC and TKO’s other businesses all sit on one board.

That matters when you read corporate documents. A reference to the “Board” in TKO’s filings means TKO’s board, not a WWE-only body. If you want to describe the group accurately, “TKO’s board, which governs WWE” is the precise wording.
Current roster of TKO’s board
The table below lists the directors named in TKO’s 2026 proxy statement. The proxy also named the same 12 people as nominees for election at the company’s June 10, 2026 annual meeting, with terms running to the 2027 annual meeting if they were elected.

The proxy does not list committee assignments for each director in the sections relied on here, so this article does not assign individuals to committees.
What the roles mean
- Executive directors. Ariel Emanuel and Mark Shapiro hold senior management roles at TKO. Nick Khan also sits on the board while serving as WWE President, which means one of the directors is directly responsible for running WWE day to day.
- Lead Independent Director. Steven R. Koonin holds this role, which TKO describes in its investor materials as leadership of the independent directors. The title is distinct from the chair, which Ariel Emanuel holds as Executive Chair.
- Other directors. The remaining directors are listed in the proxy without additional titles in the sources reviewed for this article.
The distinction to keep in mind is between board membership and operating leadership. Nick Khan is WWE’s President, but the other 11 directors are not WWE managers by virtue of their board seats. Being on the TKO board does not give a person a WWE job, and WWE’s day-to-day executives are not all on the board.

How the board oversees the company
TKO’s corporate governance guidelines state that the board oversees the company’s business and affairs, and it does so partly through committees. The guidelines name three standing committees: Audit, Compensation, and Nominating and Corporate Governance.
These committees are the places where board-level decisions about financial reporting, executive pay, and director nominations are handled. For WWE, this means decisions affecting the wrestling business are made at the parent level, not by a separate WWE board.

How to confirm whether the roster has changed
The list above reflects TKO’s April 2026 proxy. Boards change through elections, resignations and appointments, and the June 10, 2026 annual meeting has already taken place. The sources used here do not report the vote results, so confirm the current membership before relying on the names. To do that:
- Open TKO’s investor relations website and go to the board of directors page. The page lists current directors and their biographies.
- Search TKO Group Holdings on the SEC’s EDGAR system and review the most recent definitive proxy statement, which is the most complete dated roster.
- Check for a Form 8-K filed after June 10, 2026. Companies typically report annual meeting voting results in this form, and it will show whether all nominees were elected.
- Look for any later 8-K filings reporting board appointments or departures, which are required within a limited period after a change.
If a newer proxy or 8-K shows a different roster, treat that filing as the authority. The names above remain accurate as the board named in TKO’s 2026 proxy statement.
