RealNetworks acquired control of Napster in a transaction that closed on January 18, 2019, raising its ownership from about 42% to about 84%. The deal was announced four days later. The often-cited $40 million was a conditional maximum—not cash paid at closing—and the seller could receive that full amount only if RealNetworks later received more than $60 million for the acquired stake.
What RealNetworks acquired—and when
On January 22, 2019, RealNetworks announced that it had acquired equity, debt, and other interests in Rhapsody International, which did business as Napster, from Rhapsody Applebee, LLC, an entity managed by Columbus Nova Technology Partners. The transaction had closed on January 18. RealNetworks’ announcement described the purchase as increasing its Napster stake from approximately 42% to approximately 84%. RealNetworks’ announcement and its 2018 annual report filed with the SEC provide the transaction details.
The increased stake gave RealNetworks a majority voting interest and the right to nominate a majority of Napster’s board. The SEC filing says RealNetworks thereby acquired control of Napster’s business. Napster was nevertheless described as continuing to operate independently, with its own board, strategy, and management team: operational independence did not undo RealNetworks’ ownership and governance control.
Why the deal was described as worth up to $40 million
RealNetworks described a $1 million upfront cash commitment, another $14 million to be paid over time subject to conditions, and additional consideration dependent on subsequent events. Those terms made $40 million a possible total, not a guaranteed purchase price or the amount paid on January 18.

The SEC filing specifies the key condition: the seller could receive the full $40 million only if proceeds RealNetworks received for the acquired 42% interest exceeded $60 million. The $40 million figure should therefore be read as a contingent ceiling. The announcement and filing do not establish that the seller ultimately received that maximum.
What was included in the acquired interests
The SEC filing describes the package as the seller’s approximately 42% equity stake plus a $5 million note receivable from Napster. Immediately before the deal, RealNetworks and the seller each held approximately 42% of Napster and each held a $5 million secured note receivable. The notes were subordinate to Napster’s senior debt and accrued interest at 10% annually. These debt interests help explain why the transaction covered more than shares alone.

Napster’s later sale to MelodyVR
RealNetworks’ 2020 reporting says the sale of Napster to MelodyVR closed on December 30, 2020. RealNetworks reported an approximate closing-date transaction value of $70.6 million, made up of cash, MelodyVR stock, and the assumption of payment obligations largely related to music industry entities. A portion of the proceeds was applied to a contingent obligation connected to the 2019 acquisition. RealNetworks’ sale announcement and its 2020 annual report filed with the SEC describe the later transaction.
The later $70.6 million figure is not a like-for-like confirmation of the 2019 seller’s payout: it describes a different transaction, with different counterparties and assumed obligations included in its value. The cited reporting does not provide a complete reconciliation of every contingent payment under the 2019 agreement, so the seller’s final total cannot be established from these disclosures alone. RealNetworks’ first-quarter 2019 results say Napster’s results and cash flows were consolidated from the acquisition date; the subsequent sale means the 2019 announcement should not be read as evidence that RealNetworks still owns Napster.

What RealNetworks said at the time
Rob Glaser, then RealNetworks chairman and CEO as well as Napster chairman, said, “We think Napster’s future is very bright.” That was management’s outlook when the acquisition was announced, rather than an independently established result.
