What happened to the Netflix deal?
Netflix and Warner Bros. Discovery announced a proposed cash-and-stock transaction on December 5, 2025. It would have given Netflix WBD’s Warner Bros. studio and streaming businesses after a planned separation of the Global Networks division into Discovery Global. It was never the transaction that closed.

On February 26, 2026, Netflix said WBD had notified it that the board considered Paramount Skydance’s latest proposal a “Superior Proposal” under the Netflix agreement. Netflix chose not to raise its offer, saying the price it would need to match was “no longer financially attractive.” That board designation—not a completed Netflix purchase—was the contractual trigger for Netflix’s exit.
Netflix co-CEOs Ted Sarandos and Greg Peters described the company’s posture this way: “But this transaction was always a ‘nice to have’ at the right price, not a ‘must have’ at any price.” That was Netflix’s explanation of its decision, not an independent judgment about the deal’s value.

How the two bids differed
The headline figures refer to different deal scopes and valuation measures. Netflix proposed buying specified studio and streaming assets following a planned networks separation; Paramount’s revised bid covered all of WBD. The values below are therefore not like-for-like price comparisons.

The “$82B” shorthand in the headline refers to Netflix’s proposed $82.7 billion enterprise value, not the price of the completed Paramount acquisition. Netflix’s announcement separately put the proposal’s equity value at approximately $72.0 billion. AP’s debt-inclusive figures use a different basis, so they should not be substituted for either Netflix figure.

What closed, and what the combined company says it will do
AP reported that the acquisition closed on October 6, 2026, and that the resulting company is named Skydance. David Ellison and co-CEO Ynon Kreiz are at the helm, according to AP’s closing-day report. Ellison called the closing “a historic day, not just for Skydance but for our entire industry.”
Skydance’s investor-relations materials describe a combined portfolio spanning two major film studios, two global streaming services, CBS, HBO, cable networks, CBS News, CNN, live sports, and extensive libraries and franchises. That concentration is why the transaction matters across film, television, streaming, news, and documentary distribution—not just to the companies’ shareholders.

Skydance has stated goals of producing at least 30 theatrical films a year and more than 180 television shows and series. It has also set a target of at least $6 billion in run-rate synergies within three years. These are company-stated commitments and targets, not evidence that the output has been delivered or the savings achieved.

The combined portfolio creates the possibility of changes to how content is made, distributed, licensed, or grouped across services. But the available closing coverage and company materials do not establish a specific streaming bundle, subscription-price change, catalog-transfer schedule, service shutdown, or editorial outcome. The ownership change alone does not tell viewers when or where any individual title will be available.

WBD’s transaction-era disclosure identified risks including litigation, financing, integration, business disruption, and failure to realize expected benefits. Those are risks, not proof that any one problem has occurred. Skydance’s synergy target likewise does not establish what will happen to particular productions, jobs, budgets, or newsrooms.
