Short answer: TikTok’s U.S. business is now organized through TikTok USDS Joint Venture LLC, a new joint venture established in January 2026. Oracle, Silver Lake, and MGX are its three managing investors, each with a 15% stake. ByteDance retains 19.9%, while the rest is held by other members of the investment consortium.
The deal gives the joint venture authority over U.S. user-data protection, algorithm security, software assurance, trust and safety, and content moderation. It is not, however, a complete ByteDance exit: the recommendation algorithm is described as licensed rather than sold outright, and TikTok global’s U.S. entities still handle interoperability plus certain advertising, marketing, and e-commerce functions.
This is a consortium ownership deal, not an Oracle takeover
The transaction created TikTok USDS Joint Venture LLC, a U.S. joint venture established in January 2026. The venture says it is majority American-owned and independent, with authority over the parts of TikTok’s U.S. operation most relevant to the national-security dispute: user-data protection, algorithm security, software assurance, trust and safety, and content moderation.
That does not mean TikTok has become entirely American-owned or that ByteDance has disappeared from the structure. ByteDance retains a 19.9% stake and continues to have a licensing relationship with the recommendation algorithm. TikTok’s global U.S. entities also retain certain commercial and interoperability functions.

The broader consortium named in the announcement includes the Dell Family Office, Vastmere Strategic Investments, Alpha Wave Partners, Revolution, Merritt Way, Via Nova, Virgo LI, and NJJ Capital. Other descriptions of the group identify investment vehicles or partners associated with Michael Dell, Susquehanna International Group, Dragoneer, General Atlantic, a foundation associated with Yuri and Julia Milner, and Xavier Niel’s family office.
The important distinction is between ownership and operating control. Oracle, Silver Lake, and MGX each own 15%, but none of them individually bought or controls TikTok. Their designation as the three managing investors gives them a prominent governance role within the venture, while the joint venture’s announced mandate determines which U.S. decisions have moved into the new structure.
What does the joint venture control?
The seven-member board is described as majority American. Adam Presser was appointed chief executive officer, and Will Farrell was appointed chief security officer. The venture says its responsibilities include the following:
- protecting U.S. user data;
- operating the U.S. TikTok applications;
- securing and overseeing the recommendation algorithm;
- managing software-assurance procedures;
- setting U.S. trust-and-safety policies;
- making U.S. content-moderation decisions; and
- running the privacy and cybersecurity program for the U.S. operation.
In practical terms, this is intended to move the most sensitive security and platform-governance decisions into a U.S.-based entity with its own board and security leadership. It is more substantial than simply moving servers or changing the name of a subsidiary.

What remains with TikTok global?
The separation is not total. TikTok’s global U.S. entities continue to handle interoperability and certain commercial activities, including advertising, marketing, and e-commerce. This allows the U.S. service to remain connected to TikTok’s worldwide creator and business ecosystem.

This is why both of the following statements are inaccurate: “Oracle bought TikTok” and “ByteDance has no remaining role in TikTok in the United States.” The new venture has the central U.S. governance mandate, but the wider TikTok business relationship continues.
What ByteDance still owns and supplies
ByteDance’s 19.9% stake is the clearest continuing financial connection. The more complicated issue concerns TikTok’s recommendation algorithm.
Independent reporting describes the algorithm as being licensed from ByteDance to the U.S. entity rather than transferred as an outright sale. The joint venture says it will retrain, test, and update the recommendation system using U.S. user data inside Oracle’s U.S. cloud environment.

Those facts describe a new U.S. operating and security process, not necessarily a transfer of all underlying intellectual property. The distinction matters because the U.S. law behind the transaction restricts cooperation between ByteDance and a new American ownership group regarding the operation of a recommendation algorithm. Reporting has characterized the legal and practical relationship between the license, the U.S. retraining process, and that restriction as unresolved.
In other words, the venture says it controls algorithm security and the U.S. operating process, while ByteDance remains connected through equity and the algorithm licensing arrangement. It would be inaccurate to say that the algorithm was simply sold and fully separated from ByteDance.
Why was the deal required?
The transaction followed the Protecting Americans from Foreign Adversary Controlled Applications Act, enacted in 2024. The Congressional Research Service described TikTok as a foreign-adversary-controlled application under the law and said ByteDance had to complete a qualified divestiture by January 19, 2025, or face restrictions affecting app-store distribution and internet hosting.
The policy concern was broader than where TikTok stores files. Lawmakers and national-security officials focused on the possibility that a foreign-adversary-linked company could access data, influence platform operations, or exert control through software, updates, and recommendation systems.
That is also why a U.S. cloud arrangement alone was not considered a complete answer by everyone. The CRS described a divide among experts: some viewed U.S. storage, monitoring, and oversight as useful safeguards, while others argued that those measures might not resolve continuing links to Chinese technology, software updates, or data transmission.
What safeguards has TikTok announced?
The new venture says its U.S. security program will include:
- Oracle-hosted U.S. data: U.S. user data is to be protected in Oracle’s secure U.S. cloud environment.
- Independent auditing and certification: the privacy and cybersecurity program is intended to be audited and certified by third-party experts.
- Recognized security frameworks: the venture says its controls will align with the NIST Cybersecurity Framework, NIST Special Publication 800-53, ISO 27001, and CISA requirements.
- Algorithm controls: the recommendation system will be retrained, tested, and updated using U.S. user data in the U.S. environment.
- Software assurance: U.S. applications will be protected through software-assurance protocols.
- Source-code review: source code will be reviewed and validated on an ongoing basis.
- U.S. trust and safety: the joint venture says it will make decisions about U.S. trust-and-safety policy and content moderation.
These are announced controls and governance commitments. They are not, by themselves, proof that every privacy or national-security concern has been solved.
How this builds on the earlier USDS security program
Before the ownership transaction, TikTok had already described a U.S. Data Security, or USDS, program. Its disclosures referred to controlled access to protected U.S. data, Oracle-hosted infrastructure, and secure transparency centers where Oracle and independent inspectors could review source code, backend services, software libraries, and recommendation algorithms.

The earlier program provides context for the new venture’s emphasis on Oracle, code review, and controlled data access. It should not be treated as independent evidence that the new safeguards are effective in practice. The public material summarized here does not provide enough detailed, independent audit results to establish how well all of the controls work or whether they eliminate the underlying risks.
What will users notice?
The immediate user-facing change was continuity. Associated Press reporting said U.S. users could continue using the same TikTok app. There was no publicly announced replacement application tied to the transaction.

The next U.S. strategy: local discovery and transactions
The ownership transaction is mainly a governance story, but TikTok’s subsequent product announcements suggest a more explicit U.S. focus on local discovery, travel, and commerce.

In February 2026, TikTok announced Local Feed, a U.S. tab for local content involving travel, events, restaurants, shopping, small businesses, and local creators. TikTok said precise location sharing would be optional and off by default. The feature was described as available only to eligible adult users, active only while the app is in use, with the relevant data protected in the TikTok USDS secure environment.
Local Feed points toward a product that can connect videos with nearby businesses and services. It does not prove that the ownership transaction caused the feature, but it is consistent with a U.S. strategy that goes beyond entertainment recommendations.
TikTok GO
In May 2026, TikTok announced TikTok GO, a U.S. discovery and booking feature for hotels, attractions, tours, and other experiences. Users can find offerings through videos, search, and location pages, then view details, availability, and booking options.
TikTok named Booking.com, Expedia, Viator, GetYourGuide, Tiqets, and Trip.com as partners. These are the TikTok GO travel partners identified in the product announcement. The reference is useful for understanding TikTok’s commercial direction; it is not a claim that this publication has an affiliate relationship with any of those companies or that a commission is available.

Together, Local Feed and TikTok GO indicate a push toward local search, travel discovery, and transactions inside TikTok. They should be understood as evidence of product direction, not proof that the ownership deal itself caused each launch.

Whether the safeguards work in practice
TikTok and the joint venture describe audits, certifications, Oracle oversight, source-code review, and technical separation. The public sources available for this explainer do not include enough detailed independent audit evidence to conclude that the measures have fully resolved the national-security and privacy concerns that prompted the law.
Readers should distinguish between an organization saying that a control exists and an independent examination showing how the control performed over time. The latter is especially important for a platform that receives frequent software updates, operates complex recommendation systems, and handles data at large scale.
How the algorithm license will work legally and technically
The algorithm arrangement is the central unresolved issue. The U.S. entity is described as retraining and testing the system on U.S. data, but the recommendation technology is also described as licensed from ByteDance. Because the law restricts cooperation concerning the operation of a recommendation algorithm, the exact boundary between licensed intellectual property and independent U.S. operation matters.

The change is significant because it places U.S. data protection, algorithm security, software assurance, trust and safety, and content moderation inside a new U.S. governance structure. It is not a total break from ByteDance, and its long-term success will depend on how the announced controls operate, how independently they are audited, and how the algorithm licensing arrangement works in practice.
