Senators scrutinized the deal’s possible effects on competition, prices, jobs and entertainment choices, while questioning about Netflix’s politics and programming shifted part of the debate toward cultural claims.
What was the Senate hearing about?
The Senate Judiciary Subcommittee on Antitrust, Competition Policy, and Consumer Rights held the February 3, 2026, hearing under the title “Examining the Competitive Impact of the Proposed Netflix-Warner Brothers Transaction.” Netflix Co-CEO Ted Sarandos and Warner Bros. Discovery executive Bruce Campbell testified.
The proposal concerned Netflix acquiring Warner Bros. studios and HBO from Warner Bros. Discovery. In his written testimony, Sarandos argued that combining the businesses would benefit consumers and creators, saying: “A combined Netflix and Warner Brothers will strengthen the American entertainment industry, preserve choice and value for consumers, and give creators more opportunities.” That was Netflix’s case for the transaction, not an established prediction of its effects. Sarandos’s written testimony
How did the hearing turn into a culture-war dispute?
Senator Eric Schmitt questioned Sarandos about Netflix’s past statements on racial justice, employee political donations and programming he described as “woke.” Those were Schmitt’s characterizations and lines of questioning, not neutral findings about Netflix’s content or political identity. The exchange brought the company’s public messaging and programming into a hearing formally focused on antitrust review.

Sarandos rejected the suggestion that Netflix had a political agenda. Responding to a post Schmitt cited, he said: “I think that is an uncharacteristic post and I’m deeply regretful that got posted.” He also described Netflix’s programming as offering content “for the left, right and center.” Schmitt’s transcript of the exchange
Schmitt raised a proposed figure about employee political donations, but Sarandos did not confirm the senator’s precise “99 percent” figure. It should not be treated as an established statistic about Netflix employees.

What other issues did senators raise?
The hearing included conventional merger questions alongside the political dispute. Senators raised concerns about competition, consumer prices, content, jobs and the movie-theater business. Senator Josh Hawley questioned Sarandos about children’s programming; Sarandos disputed the premise of Hawley’s characterization. The Guardian’s contemporaneous account
These are related but distinct questions: antitrust review concerns the transaction’s potential impact on markets and consumers, while claims about political bias concern how people interpret a company’s statements or programming. The hearing brought both into the same room, but one does not prove the other.

What happened to the proposed Netflix deal?
The Netflix proposal did not proceed. The Guardian’s reporting on the deal’s later outcome says Netflix withdrew on February 27, 2026, and Paramount Skydance ultimately won the bid. That later development means the hearing examined a proposed transaction, not a completed Netflix acquisition of Warner Bros. studios and HBO. The Guardian’s deal timeline
