On May 4, 2011, Warner Bros. Home Entertainment Group announced an agreement to acquire Flixster, including Rotten Tomatoes. Warner Bros. said it wanted to use Flixster’s brand and technical expertise to support digital content ownership; the announcement described plans, not proof that those initiatives later succeeded. The purchase price was not disclosed.
What Warner Bros. agreed to acquire
The deal covered Flixster, a movie discovery and social movie service, and Rotten Tomatoes, a film reviews and information site. Rotten Tomatoes had become part of Flixster the year before: on January 4, 2010, Flixster announced it had acquired the site from IGN Entertainment. Why Warner Bros. wanted Flixster
Warner Bros. framed the acquisition as part of a strategy to grow digital ownership: ways for consumers to organize and access digital entertainment, rather than relying only on individual physical purchases. Kevin Tsujihara, then president of Warner Bros. Home Entertainment Group, said, “Driving the growth of digital ownership is a central, strategic focus for Warner Bros.” He added that acquiring Flixster would help advance that strategy.
The announcement highlighted Digital Everywhere, a proposed studio-agnostic application for organizing and accessing a digital library, and Warner Bros.’ support for UltraViolet. What Warner Bros. said about the companies’ operations
The announcement said Flixster would continue operating independently. Warner Bros. also said the Flixster team would remain in San Francisco and Rotten Tomatoes’ Los Angeles team would continue to work autonomously. These statements describe the operating arrangement announced in 2011, not necessarily the companies’ later structure.

Was the purchase price disclosed?
No. Warner Bros. did not disclose the price. Contemporaneous reports noted an estimate of $60–90 million attributed to earlier reports, but that range was not confirmed as the deal consideration. TechCrunch’s May 4, 2011 report and The Guardian’s May 4, 2011 report

The 2011 acquisition should not be confused with present ownership. Rotten Tomatoes’ FAQ currently says Fandango owns the site and describes Fandango as a joint venture in which Versant is the majority owner and Warner Bros. is the minority owner. Rotten Tomatoes FAQ
