“TikTok America” Became TikTok USDS: What Trump’s TikTok Deal Changed

The reported “TikTok America” proposal became a U.S. joint venture with Oracle, Silver Lake and MGX as managing investors—and ByteDance retaining 19.9%. Here is what that structure means for the algorithm, data and users.

“TikTok America” was the reported name for an April 2025 proposal to put TikTok’s U.S. business under a new company. The completed venture, announced by TikTok on January 23, 2026, is called TikTok USDS Joint Venture LLC. Oracle, Silver Lake and MGX each hold 15%, while ByteDance retains 19.9%. The arrangement gives the U.S. venture formal responsibility for key U.S. operations, but it does not mean ByteDance disappeared from the business or that every technical dependency became independent.

What “TikTok America” meant

“TikTok America” was a reported working name for a proposed U.S.-specific corporate structure—not a confirmed plan to replace TikTok with an unrelated social network. The idea was to keep the service available in the United States while reducing ByteDance’s control enough to address a federal divest-or-ban law.

The terms refer to different things. “TikTok America” described the early proposal; TikTok’s U.S. operations are the business and services serving American users; and TikTok USDS Joint Venture LLC is the name of the venture associated with the completed arrangement. TikTok announced its completion on January 23, 2026, after a reported January 22 closing. TikTok’s announcement identifies the final entity.

The public information describes a new U.S. company and a changed governance and security structure. It does not establish that users were moved to a wholly separate app.

Why TikTok faced a U.S. divestiture deadline

The Protecting Americans from Foreign Adversary Controlled Applications Act, signed in 2024, barred distribution, maintenance or updating of covered applications controlled by a foreign adversary unless a qualifying divestiture took place. The law took effect with respect to TikTok on January 19, 2025, according to Executive Order 14352.

The dispute was not simply about where TikTok stored its servers. The statutory question concerned ownership and control, access to U.S. user data, operational ties to ByteDance, control of recommendation algorithms and data-sharing arrangements. Moving data to U.S. infrastructure could address part of the concern, but would not by itself settle who could shape the app, access its systems or deploy its software.

What Trump’s April 2025 proposal envisioned

In an April 2, 2025 report, The Information described a preliminary proposal in which new U.S. investors would own roughly half of a new entity, ByteDance would retain less than 20%, and existing ByteDance investors could receive a separate stake. The proposal reportedly contemplated licensing TikTok’s recommendation algorithm rather than selling it outright.

Those were reported negotiating terms, not the final cap table. The proposal still depended on agreement from ByteDance and China. The distinction matters: a proposed ownership split or algorithm license should not be mistaken for a completed sale or proof of technical independence.

Who owns the completed U.S. venture?

TikTok’s January 2026 announcement and contemporaneous coverage identify three managing investors, each with a 15% stake. ByteDance retained 19.9%. The balance belongs to other investors and affiliates of existing ByteDance investors; the full public cap table is not established by the cited announcements.

The three managing investors together hold 45%; ByteDance’s 19.9% is below the 20% threshold discussed in the deal. “American-owned” can describe majority ownership outside ByteDance, but it should not be read as meaning all capital is American or ByteDance has no economic interest. The Associated Press and Reuters also reported the final structure.

What each participant brings

ByteDance: a minority stake and a continuing technology question

ByteDance remains an investor, so it was not removed from the U.S. business economically. That fact alone does not establish that it controls the venture. The more consequential questions are its voting and board rights, contractual relationships, access to systems and continued role in technology. The White House said ByteDance would have one seat on a seven-member board and would not sit on the security committee. Those are the administration’s descriptions of the governance framework, not a substitute for reviewing all underlying agreements.

Oracle: investment, infrastructure and security oversight

Oracle holds 15% and was designated by the White House as the trusted security provider for U.S. operations. The administration described U.S. data storage and monitoring of software updates, data flows and recommendation systems as parts of its security framework. This is more than a passive investment role, but it does not mean Oracle owns TikTok outright or that hosting data alone resolves every security concern. Silver Lake and MGX: managing investors

Silver Lake and Abu Dhabi-based MGX each hold 15% and are named as managing investors. Their stakes contribute to the venture’s ownership structure; the public materials cited here do not provide enough detail to describe every operational responsibility or governance right each holds.

Who controls the recommendation algorithm?

The algorithm is the central technical test of whether the U.S. venture can operate independently in practice. Several different ideas are easy to conflate:

  • Owning an algorithm means holding the relevant intellectual-property rights; the public descriptions here do not establish an outright sale.
  • Licensing means permission to use technology owned by another party. The April 2025 proposal reportedly contemplated a ByteDance license.
  • Operating the U.S. system means making decisions about how it runs for U.S. users. The later White House framework said the U.S. venture would control U.S. app code and algorithm operations.
  • Retraining and monitoring refers to using U.S. data to train or assess recommendation models under the venture’s security framework. It is not the same as proving that the technology has no ByteDance-derived components.

The White House said the U.S. model would be retrained and monitored by trusted security partners, with software updates, algorithms and data flows subject to intensive monitoring. The earlier license proposal and later operational-control framework describe different stages and concepts; they do not establish that the algorithm was sold outright. What changes for users, creators and advertisers?

The announced changes are principally corporate, governance and security arrangements. The White House described U.S.-based data storage, U.S.-controlled content-moderation and recommendation operations, and monitoring of data flows and software updates. Its framework also covered other ByteDance apps, including CapCut and Lemon8; ABC News reported on that scope.

The deal announcement does not establish an immediate change to the TikTok interface, feed or creator tools. It also does not show that TikTok became independent of ByteDance globally, that all U.S. processing is confined to U.S. systems, or that moderation became politically neutral or more transparent. Creators and advertisers should distinguish continued U.S. availability from guarantees about product behavior, audience reach or future regulation.

Does the arrangement satisfy the law?

The White House said its September 2025 framework qualified as a divestiture under the statute. Its rationale was that the U.S. venture would be majority-owned and controlled by U.S. persons; ByteDance and affiliates would stay below 20%; the venture would control U.S. app code, algorithm operations and moderation decisions; sensitive U.S. data would be kept outside foreign-adversary control; and security partners would monitor updates, algorithms and data flows. The legal determination appears in Executive Order 14352.

A presidential determination is the administration’s legal position, not unanimous agreement among lawmakers, litigants or national-security specialists, and not an independent public audit of every technical safeguard. Formal compliance and practical independence are related but distinct questions.

What questions remain open?

The public ownership percentages answer who holds major stakes, but do not disclose every contract, access rule or technical control. To judge whether the separation is meaningful, the relevant questions are:

  • Control: Who has voting power, board appointment rights and veto rights beyond the publicly described board composition?
  • Algorithm: Who can alter ranking systems, model weights, training data and recommendation policies, and how independent is the U.S. system from ByteDance technology?
  • Data: Who can access raw data, metadata, backups, logs and derived profiles? U.S. storage does not alone establish that all processing or access stays in the country.
  • Software and personnel: Who writes, reviews, signs and deploys updates, and can ByteDance employees or contractors still operate core U.S. systems?
  • Verification and enforcement: Are audits independent and recurring, are their results public, and what follows if the venture breaches its obligations?
  • Continuity and scope: Could the service continue if China restricted technology transfer, and are CapCut and Lemon8 subject to the same controls in practice?
  • Transparency: Will users receive meaningful explanations of data handling and recommendation systems?

These are unresolved governance and implementation questions, not proof that ByteDance retained prohibited control. A minority stake can coexist with influence through technology, personnel or contracts; conversely, dependence on technology with ByteDance origins does not by itself prove that ByteDance controls U.S. operations. The full security agreement and public audit detail are not established in the cited material. The reported need for Chinese approval also leaves the arrangement exposed to geopolitical friction.

What to watch next

The most useful evidence will be concrete disclosures about governance and implementation rather than the venture’s label. Watch for board and voting-right details, audit and compliance reporting, rules governing data access and software deployment, and any disclosed changes to the U.S. app or its infrastructure. Disputes involving ByteDance, Chinese authorities or U.S. regulators could also test whether the venture can maintain service while meeting the stated separation requirements.
