How much did Prada pay for Versace?
When Prada announced the agreement on April 10, 2025, it described the transaction as having an enterprise value of €1.25 billion ($1.375 billion), on a debt- and cash-free basis. The headline figure of $1.4 billion is a rounded version of that announced dollar value. Prada’s agreement announcement specified the valuation and the terms.
In its closing filing, Capri Holdings reported $1.375 billion in cash consideration, subject to adjustments for net indebtedness, working capital, and transaction expenses. Enterprise value and closing cash consideration are different descriptions: the first was Prada’s announced transaction valuation on a debt- and cash-free basis; the second was the seller’s reported cash amount at closing, with adjustments. Capri’s SEC filing sets out the closing figure and adjustments.
When did the acquisition close?
Prada announced the agreement on April 10, 2025, with completion subject to customary conditions and regulatory approvals. It announced that the acquisition had closed on December 2, 2025, after receiving the required regulatory clearances. Prada’s closing announcement confirms completion, so the acquisition is no longer pending.

What the sale meant for Capri Holdings
Versace was sold by Capri Holdings to Prada S.p.A. After the transaction closed, Capri chairman and CEO John D. Idol said the company planned to use the proceeds to repay the majority of its debt. That was Capri’s stated intention; its announcement does not establish how the proceeds were ultimately allocated. Capri’s closing announcement includes Idol’s statement.
