Coverage also reported a contract remedy of $1 against each member. The restriction is a reported consequence of the verdict; the final judgment’s exact wording and scope have not been independently verified here.
What the jury reportedly decided
News coverage described the February 27, 2025 verdict as a loss for the four members in their dispute involving Signature Entertainment and former management. NME reported that each member was ordered to pay $1 in contract damages and that the members could no longer use the Why Don’t We name. iHeartRadio likewise reported that they must change the group’s name.
Those reports do not establish the precise language or reach of a final court order. Without the verified judgment, it is not possible to say whether the restriction is permanent, exactly which uses it covers, or how it applies to every future project or public reference to the group.
NME’s February 28, 2025 report and iHeartRadio’s coverage provide the reported verdict details.

Who was involved and what the dispute concerned
The case involved Signature Entertainment, former manager David Loeffler, the four band members, and Randy Phillips. Coverage described competing claims and counterclaims involving contracts and defamation. The members accused former management of abuse; those accusations, and the other parties’ competing accounts or denials, should be understood as allegations rather than established findings unless supported by the court’s verified judgment.
How the reported damages differ
Several dollar figures appeared in coverage, but they relate to different claims and parties. They should not be combined into a single amount owed by the band members.

| Reported amount | What it was linked to | Source and qualification |
|---|---|---|
| $1 per member | Contract damages reported against each of the four members | Reported by NME and iHeartRadio in coverage of the February 2025 verdict. |
| $400,000 | A separate defamation-related outcome | Reported by NME; it is distinct from the reported $1-per-member contract damages. |
| $3 million | An award against Randy Phillips to Signature Entertainment | Claimed in Signature Entertainment’s March 3, 2025 press release, which represents the company’s account rather than an independently verified court record. |
What the members said after the verdict
Yahoo Entertainment reported that the members issued a statement saying: “Finally, this lawsuit nightmare is over, and we’re excited to put this behind us and continue our solo careers.” The statement was signed “Formerly known as Why Don’t We.” The original post was not separately verified here. Yahoo Entertainment’s report attributes the statement to the group.

The cited news accounts do not establish the exact operative wording of the final judgment, whether an injunction was issued and its scope, or whether there have been appeals or later post-trial developments. They also do not establish that the restriction applies to every conceivable use of the name or determine all ownership rights associated with it. Those points require a verified court order or current docket record.
