What Netflix changed in January 2026
Netflix and Warner Bros. Discovery announced the amended proposal on January 20, 2026. The consideration for WBD stockholders was to be all cash, but Netflix said the stated value remained $27.75 per share. Stockholders were also to receive the value of Discovery Global after its planned separation from Warner Bros. The proposal therefore covered Warner Bros., not all of WBD as a single company. Netflix’s announcement described the planned separation into two publicly traded companies before the proposed Netflix transaction closed.
How the offers differed
The key difference was not just payment method: the proposals covered different assets and were made at different points in the contest.

The figures are not a like-for-like comparison of identical packages: Netflix’s stated value included a separate Discovery Global component, while Paramount’s proposal sought to acquire all of WBD. The amounts were terms of proposals at the time, not current competing offers. WBD’s February 26 disclosure said its board had determined Paramount’s revised proposal to be a “Company Superior Proposal” under the Netflix merger agreement.

Why Netflix went all cash—and why it still walked away
The all-cash amendment changed the form of Netflix’s consideration without increasing the stated $27.75-per-share value. The stated facts establish the terms of that change; they do not establish that the cash structure alone was intended to defeat Paramount or that it made Netflix’s offer financially superior.
After WBD’s board designated Paramount’s revised proposal a Company Superior Proposal, Netflix had a four-business-day period to propose changes under the merger agreement. Netflix did not raise its offer. In its February 26 statement, co-CEOs Ted Sarandos and Greg Peters said the price required to match Paramount’s latest offer made the deal “no longer financially attractive,” so Netflix was declining to match. Netflix’s statement attributed that decision to the company’s financial discipline and the cost of matching.

Deal protections disclosed with Paramount’s proposal
WBD’s February 26 disclosure described two fee terms associated with Paramount’s revised proposal: a $7 billion regulatory termination fee payable by Paramount if the transaction failed to close for regulatory reasons, and Paramount’s payment of the $2.8 billion termination fee WBD would owe Netflix if WBD ended its existing merger agreement. These were disclosed proposal terms, not evidence that either fee was ultimately paid.

The contest is over. The Associated Press reported that Paramount completed its acquisition of Warner Bros. Discovery on October 6, 2026, in a takeover it characterized as valued at $81 billion. The combined company is called Skydance. Netflix’s January all-cash proposal and Paramount’s February revised bid are therefore part of the deal’s history, not active offers. Associated Press’s October 6 report covered the completed acquisition.
