Warner Bros. Discovery’s Planned Split: What Was Announced and What Happened

Warner Bros. Discovery announced in June 2025 that it would split into two companies. That split never happened: Skydance completed its acquisition of WBD on October 6, 2026.

Warner Bros. Discovery did not split into two companies. It announced that plan in June 2025, but the split was overtaken by a sale. Skydance completed its acquisition of WBD on October 6, 2026, and WBD now operates as a wholly owned subsidiary of Skydance. The two-company structure described in 2025 never took effect.

What was announced in June 2025

On June 9, 2025, Warner Bros. Discovery (WBD) announced that it planned to separate into two publicly traded companies. The target was mid-2026. The transaction was described as tax-free, and WBD said each company would be able to focus on its own strengths and financial profile.

The announcement was conditional. It required final board approval and tax-related conditions to be met. Reading it at the time as a finished separation would have been a mistake: it was a plan, not a completed corporate action.

David Zaslav, WBD President and CEO, gave management’s rationale in that announcement: “This separation will invigorate each company by enabling them to leverage their strengths and specific financial profiles.” That was the stated reason for the plan at the time. It was never evidence that the separation had happened.

How the two companies would have been divided

The plan split WBD along business lines rather than by geography or ownership stake. The two proposed companies were:

In short, the studio, HBO and streaming assets would have stayed with Warner Bros., while cable and global networks, sports and news would have moved to Discovery Global.

How the plan was superseded

October 2025: a strategic review

In October 2025, WBD said its board would review strategic alternatives while continuing to advance the proposed separation. The alternatives included a transaction for the whole company, or separate transactions involving Warner Bros. and/or Discovery Global. The separation remained on the table, but it was no longer the only path being considered.

December 2025: a proposed Netflix structure

In December 2025, WBD announced a proposed acquisition of Warner Bros. by Netflix. That proposal depended on a Discovery Global separation that was then expected in the third quarter of 2026. It was an intermediate proposed structure, not the final outcome, and it did not produce the structure that ultimately closed.

October 6, 2026: Skydance completes the acquisition

Skydance completed its acquisition of WBD on October 6, 2026. WBD became a wholly owned subsidiary of Skydance and its shares stopped trading on Nasdaq. Skydance’s closing release said WBD shareholders received $31.01666668 per share in cash, and it announced that the combined company would be named Skydance.

Proposed separation compared with the outcome

The table below compares the June 2025 plan with the situation recorded at the October 2026 closing, along the three points that matter for understanding the change.

Keep the planned dates and the actual closing date separate when you cite them. The mid-2026 target was never met as a separation, and the October 2026 date is the closing of a sale, not the completion of the split.

Output targets Skydance has stated

Skydance’s closing announcement included two output commitments for the combined business: at least 30 theatrical films per year, and 180 or more television shows and series. These are company-stated targets. They are not independently verified results, and they should not be read as performance that has already been delivered.

How to check whether a report is current

  • Phrasing such as “will split” or “plans to separate” describes the June 2025 announcement and is out of date.
  • Any reference to Discovery Global as a separate listed company describes a plan that did not occur.
  • Coverage dated after October 6, 2026 should describe WBD as a Skydance subsidiary.
  • Planned dates (mid-2026, Q3 2026) and the actual closing date (October 6, 2026) should be presented as different things.

The original June 2025 announcement and the October 2026 closing announcement are the primary sources to check against. Both are issued by the companies involved.
