On March 12, 2026, the Teamsters urged the U.S. Department of Justice to challenge Paramount Skydance Corporation’s proposed acquisition of Warner Bros. Discovery unless the companies made enforceable commitments to domestic production and worker protections. DOJ later closed its investigation without suing. A separate, 12-state lawsuit ended in a court-approved settlement that the Teamsters supported, and Paramount completed the acquisition on October 6, 2026.
Why did the Teamsters want DOJ to block the merger?
The International Brotherhood of Teamsters said it had sent a report to DOJ’s Antitrust Division and called for the department to sue unless the companies guaranteed protections for workers and U.S. production. Its position was conditional: the union opposed proceeding without safeguards, rather than rejecting any merger under any terms.
The union argued that combining the companies could concentrate decision-making, cost film and television workers jobs, shift production away from U.S. communities, and weaken labor standards. Those were the Teamsters’ concerns about potential effects, not established findings about what happened after the acquisition.
In its March 12 statement, Teamsters General President Sean M. O’Brien said: “Unless Paramount and Warner Bros. can guarantee enforceable protections for domestic production and labor standards, this merger can’t be allowed to move forward.” The union said the statement represented nearly 15,000 rank-and-file Motion Picture Teamsters.

Did DOJ block the Paramount-Warner Bros. merger?
No. On June 12, 2026, DOJ said it had closed its investigation and concluded that the transaction was unlikely to harm competition or consumers in the markets it reviewed. The department described an eight-month investigation involving more than two million documents from more than 80 custodians, as well as data and submissions from third parties.
DOJ’s review covered streaming video on demand, linear television, and the development, production, or distribution of theatrical films. Closing the investigation was not an order blocking the deal, nor did DOJ describe it as an approval. State attorneys general pursued a separate challenge afterward.

What did the states challenge?
On July 13, California Attorney General Rob Bonta led 11 other states in suing to stop the transaction. Their complaint alleged that the merger would lessen competition in wide-release theatrical film distribution, distribution of anticipated top-grossing theatrical films, and licensing of basic cable channels.
California’s announcement cited the states’ estimates that the combined company would have a 27% share of wide-release theatrical distribution and a 27% share of basic-cable licensing. These were figures advanced by the state plaintiffs, not adjudicated findings about market shares or proof that the merger violated antitrust law.

What protections did the settlement include?
California announced a settlement with Paramount on September 21, 2026. The court approved it on September 30. The agreement set five-year commitments, including:
- Annual film-release targets of 30 films, including 20 wide releases, in the first two years; and 32 films, including 21 wide releases, in years three through five.
- At least four independent films released each year.
- At least $1.5 billion in additional U.S. film-production spending over five years.
- A $47.5 million fund for workers affected by the merger.
- Separate negotiations for the two companies’ basic-cable channels, along with monitoring and a News Editorial Independence Board for CNN and CBS.
The settlement also sets out compliance obligations and remedies for specified failures. Its targets are future commitments; they do not establish that the company has already met them.

Did the Teamsters later support the merger?
Yes. The Teamsters supported the settlement announced in September, saying it included worker protections. O’Brien said on September 21: “The Teamsters Union supports the settlement agreement announced today by California Attorney General Rob Bonta to move forward the pending merger between Paramount Skydance and Warner Bros. Discovery.” That support followed the union’s March demand for enforceable safeguards.
Has Paramount’s Warner Bros. merger closed?
Yes. Paramount completed its acquisition of Warner Bros. Discovery on October 6, 2026. As of October 8, the merger was complete. The available statements and filings describe legal commitments and the parties’ positions; they do not establish realized post-merger effects on employment, prices, or content variety.
