The Nashville court temporarily blocked the proposed transaction while the dispute went to private arbitration. In August 2025, Hall’s lawyers reported a final arbitration judgment and sought dismissal of the court case, but the award and its terms were not made public.
What were Hall and Oates fighting about?
Hall’s November 2023 court filing concerned a proposed sale of Oates’s interest in Whole Oats Enterprises LLP to Primary Wave, a music-publishing and rights-management company. Hall alleged the transaction would violate the duo’s business agreement, including its confidentiality provision. Those were Hall’s allegations, not findings by a court or arbitrator. The FADER’s account of partially unsealed filings described the proposed deal and Hall’s claims.
Oates rejected Hall’s characterization. In a response reported at the time, he said he was “deeply hurt” by Hall’s “inflammatory, outlandish, and inaccurate statements.” Those words express Oates’s position; they do not independently establish what the agreement required or whether it was breached. The Los Angeles Times reported on the competing claims and the sealed case material.
What was Whole Oats, and what was not established?
Whole Oats was reported to include several kinds of commercial assets: trademarks, personal name and likeness rights, recording royalty income, and website and social-media assets. That makes it misleading to describe the dispute simply as a fight over “the whole song catalog.” The public reporting does not establish that the proposed sale covered the entirety of Hall and Oates’ catalog, nor does it disclose the transaction’s complete terms. The Associated Press described the reported Whole Oats assets and the later arbitration resolution.

What happened in court and arbitration?
- November 9, 2023: Hall opened an arbitration against Oates and other parties connected with Oates’s trust, according to reporting on partially unsealed filings. Hall sought to stop the proposed sale.
- November 16, 2023: Hall filed in Nashville Chancery Court and requested emergency intervention. The court temporarily blocked the proposed sale while arbitration proceeded.
- August 2025: Hall’s attorneys reported that arbitration had reached a final judgment and asked the court to dismiss the case. The Associated Press reported that it was unclear when arbitration concluded and that the result’s details had not been disclosed. TheWrap described the voluntary dismissal as without prejudice.
The temporary block preserved the status quo while the dispute was handled in arbitration; it was not a final ruling on the contractual allegations. The later dismissal likewise does not reveal what the arbitrator decided. TheWrap’s report on the dismissal and the Associated Press report describe the public endpoint.
What is known about the outcome?
The dispute was resolved through private arbitration, and Hall’s lawyers reported a final arbitration judgment before seeking voluntary dismissal of the court case. The reporting reviewed does not disclose the award’s terms, whether either side paid money, or what ownership or other rights changed hands. The result therefore cannot be characterized as a win for either side on the underlying claims.

Does the resolution mean Hall and Oates may reunite?
No such conclusion follows from the case’s dismissal. The legal process ended in a private resolution, but that does not establish a repaired personal relationship or guarantee future performances together. Asked by The Times whether the relationship could be repaired, Hall said: “That ship has gone to the bottom of the ocean.” The Associated Press reproduced the remark on August 11, 2025; it is Hall’s view, not proof that the two will never reconcile.

What the public record does—and does not—show
